Guance Billing Center Service Agreement¶

This service agreement is a legally binding contract between Shanghai Guance Future Information Technology Co., Ltd. (hereinafter referred to as "Guance Future") which operates the Guance Billing Center, and users (hereinafter referred to as "you"). Guance Future provides the products and services displayed on this website (hereinafter referred to as "this service"), with continuous updates to the service content. The latest services are subject to the product and service introductions displayed on this website and actually provided to users.

Article One General Provisions¶

You confirm: Before using this service, you have fully read, understood, and accepted all the contents of this service agreement (especially the content marked in bold and/or underlined). Once you choose "agree" and complete the registration process or use this service, it indicates that you agree to abide by all the terms of this service agreement.

You agree: Guance Future has the right to make unilateral changes to this service agreement and the corresponding service rules at any time, and has the right to announce such changes through message notifications, web announcements, etc., without the need for separate individual notices to you; if you continue to use this service after the announcement of changes to the service agreement, it indicates that you have fully read, understood, and accepted the modified agreement content, and will follow the modified terms when using this service; if you do not agree with the modified service terms, you should immediately stop using this service.

Article Two Accounts¶

(One) Registration

Qualifications for Registrants

1.1 You confirm that when you complete the registration procedure or use this service in other ways permitted by Guance Future, you should be a natural person, legal entity, or other organization (hereinafter collectively referred to as "legal entities") with full civil rights capacity and full civil conduct capacity.

1.2 If you are a minor or a person with restricted civil conduct capacity, then you do not have the aforementioned qualifications. You and your guardian shall bear all consequences arising from your improper registration behavior, and Guance Future has the right to cancel (permanently freeze) your account and seek compensation from you and your guardian.

Registration, Accounts, and Real-name Authentication

2.1 After you fill out the information as prompted on the registration page, read and agree to this service agreement, and complete the entire registration process, or after you fill out the information as prompted on the activation page, read and agree to this service agreement, and complete the entire activation process, or use the services of this website in other ways permitted by Guance Future, you will be bound by this service agreement. You can use the email, phone number, or other methods allowed by Guance Future that you provide or confirm as login credentials to access this website.

2.2 You understand and agree that after completing the registration process on this website and successfully registering, you will have obtained a Guance Billing Center account.

2.3 Currently, the Guance Billing Center allows one legal entity to own only one platform account. Unless otherwise determined by law or effective legal documents, or unless conditions published by Guance Future are met, you may not transfer, gift, or allow others to inherit your Guance Billing Center account in any way. Additionally, when transferring, gifting, or inheriting eligible Guance Billing Center accounts, Guance Future has the right to require you and/or the transferee, donee, or your heir to provide qualified documents and follow the operational procedures required by Guance Future.

2.4 You understand and agree that to ensure account and transaction security, Guance Future has the right to require you to complete real-name authentication for your Guance Billing Center account at any time, such as requiring individuals to provide [ID card, phone number], etc., and requiring enterprises to provide [business license, unified social credit code certificate, legal representative information], etc.; additionally, Guance Future may require you to provide more identity documents, enterprise information, and business licenses for certain products or services, for further identity verification or qualification validation. Your account will only gain the qualification to use related products or services after passing these verifications.

(Two) Information

When completing the registration or activation process, you should provide and promptly update your information accurately according to legal requirements and the prompts on the corresponding pages, ensuring its truthfulness, timeliness, completeness, and accuracy. If there is reasonable suspicion that the information you provide is erroneous, inaccurate, outdated, or incomplete, Guance Future has the right to send you inquiries and/or requests for correction, and has the right to directly handle the deletion of relevant data, up to suspending or terminating the provision of part or all services to you. Guance Future assumes no responsibility for this, and you will bear any direct or indirect losses and adverse consequences arising therefrom.
You should accurately fill out and promptly update the email address, contact telephone, contact address, postal code, and other contact details you provide, so that Guance Future or other members can effectively communicate with you. If we cannot reach you through these contact details, leading to any loss or increased costs during your use of Guance Future services, you must completely and solely bear the responsibility. You understand and agree that you are obligated to maintain the validity of the contact details you provide, and if there are changes that need updating, you should follow Guance Future's requirements to operate, supplement, and improve personal/enterprise information.

(Three) Account Security

You must take responsibility for keeping your Guance Billing Center account and password confidential, and assume responsibility for all activities occurring under that login name and password (including but not limited to information disclosure, posting information, online clicking to agree or submit various rules agreements, renewing agreements online, or purchasing services, etc.). You agree: (a) If you discover that anyone is using your Guance Billing Center account and password without authorization, or if there is any other situation violating confidentiality, you will immediately notify Guance Future and authorize Guance Future to take corresponding actions; (b) Ensure that you log out correctly at the end of each online session. Guance Future cannot and will not be responsible for any losses or damages caused by your failure to comply with this provision. You understand that Guance Future needs reasonable time to act on your request, and Guance Future assumes no responsibility for the consequences (including but not limited to any losses you incur) before taking action.
Unless required by law or judicial ruling, and with the consent of Guance Future, your account login and password cannot be transferred, gifted, or inherited in any way (except for property rights associated with the account).
You understand and agree that Guance Future has the right to know the real background and purpose of your use of this website's products and services, and has the right to require you to truthfully provide accurate, comprehensive, and true information; if Guance Future has reasonable grounds to suspect that the information you provide is untrue, you engage in fraudulent transactions, or your actions violate Guance Future's website rules, Guance Future has the right to temporarily or permanently restrict the use of all or part of the products and/or services under your account.
You understand and agree that based on operational and transaction security needs, Guance Future has the right to temporarily suspend or restrict some or all of the fund payment functions under your account. Guance Future will notify you via email, in-site messages, SMS, or phone calls, and you should promptly pay attention and follow the procedures for appeals and subsequent operations.
You understand and agree that Guance Future has the right to query, freeze, or deduct funds, transactions, and accounts on this website according to the requirements of national judicial, administrative, military, security agencies (including but not limited to public security organs, procuratorates, courts, customs, tax authorities, security departments, etc.).

(Four) Account Cancellation

Guance Future reserves the right to suspend or terminate providing part or all services to you, up to canceling your Guance Future account, if you violate national or local laws and regulations or breach this service agreement.
Login Name Cancellation

2.1 You understand and agree that if you do not log in to this website using your email, phone, or other methods recognized by this website for 12 consecutive months, and there are no unexpired services under your account, Guance Future has the right to cancel your login name, and you will no longer be able to log into the Guance Billing Center website.

2.2 You agree and authorize Guance Future-related websites/APPs that if you commit fraud, post or sell counterfeit goods, infringe on others' legitimate rights and interests, or engage in other serious violations of any Guance Future rule on any Guance Future-related website/APP, that website/APP within the scope of Guance Future has the right to disclose this, and your Guance Billing Center login name may be canceled. After cancellation, you can no longer log into related websites/APPs of the Guance Billing Center, and Guance Future website/APP services will also terminate.

You guarantee not to take any actions that affect, damage, or may affect or damage Guance Future, Guance Future's associated companies, or other companies, websites' legitimate rights and interests. These actions or ways include but are not limited to:

3.1 Violating any service agreement/terms, management norms, transaction rules, etc., published by Guance Future.

3.2 Disrupting or attempting to disrupt Guance Future's fair trading environment or normal trading order.

3.3 Any use containing the name or brand of Guance Future Company that misleads others or any use of certain Chinese/English (full or abbreviated names), numbers, domains, etc., intending to indicate or map a relationship with Guance Future.

3.4 Guance Future, based on reasonable judgment, considers possible behaviors similar in nature or generating similar risks as above. You acknowledge that Guance Future has the right to terminate providing services to you if you violate the aforementioned agreements, and all related services will terminate simultaneously.

Article Three Corporate Member Functions¶

After completing account registration on the Guance Billing Center, you can log into the platform via your account to enjoy trial functions of some services/products. Only after becoming a corporate member can you activate wallet functions and enjoy better services/products provided by the Guance Billing Center.

(One) Application and Activation of Corporate Members

You can apply to become a corporate member on the Guance Billing Center and provide information and materials such as your company name and business license as required by the Guance Billing Center. Guance Future will review the information and application you submitted within 3 working days after receiving the application and notify you of the review results through the Guance Billing Center. Successful review means that you have successfully activated the corporate member function.
The Guance Billing Center will send you a bill each month to inform you of your consumption for that month.

(Two) Wallet Function for Corporate Members

The Guance Billing Center will open a wallet function for each corporate member, which includes two parts: cash balance and credit limit. The cash balance is formed by recharging, while the credit limit is granted based on offline agreements between you and Guance Future or by Guance Future reviewing your qualifications, allowing you to use services first and pay later.
You can use the cash balance and credit limit to purchase services/products from the Guance Billing Center. Guance Future will settle daily based on your usage of Guance Billing Center services/products and deduct the corresponding fees from your cash balance. If the cash balance is insufficient, the credit limit will be deducted. When your cash balance is sufficient to cover the services/products consumed on the Guance Billing Center, the Guance Billing Center will not deduct your credit limit; when your cash balance is insufficient to cover the services/products consumed on the Guance Billing Center, the Guance Billing Center will default to deducting your credit limit, but in such cases, you will not be allowed to purchase services/products from the Guance Billing Center exceeding the credit limit.
The Guance Billing Center will give you a [15]-day billing period for consumption within your credit limit, and such consumption will expire [15] days after the date of consumption.
You can recharge your account via the corresponding payment method (specific payment methods please see the recharge page) used on the client (including but not limited to mobile, website, and other third-party payment channels). During recharging, you may also enjoy the recharge discounts offered by the Guance Billing Center (if available, specific details please see the recharge agreement). When your account's credit limit is less than the maximum credit limit, your recharge amount will first fill the gap between the current credit limit and the maximum credit limit, and the remaining amount will be stored in your account as cash balance.
When both your cash balance and credit limit are exhausted, you have entered a suspended state, and Guance Future has the right to temporarily revoke your eligibility to use other unpaid services/products purchased on the platform.
When the consumption amount within the credit limit expires, you have entered an overdue payment status, and Guance Future has the right to take one or more of the following measures:

6.1 Except for the services/products you have already paid for on the Guance Billing Center, temporarily revoke your eligibility to use other unpaid services/products purchased on the platform.

6.2 Guance Future has the right to issue a termination notice and unilaterally terminate this service agreement and require you to pay 20% of the payable amount as a termination penalty.

6.3 Starting from the date Guance Future issues the termination notice, you must also pay Guance Future a late fee of 0.5% of the payable amount per day.

6.4 For the relevant data on the Guance Billing Center, Guance Future has the right to handle and delete it.

Invoice Application

After receiving the monthly consumption record bill on the Guance Billing Center, you can choose to apply for either electronic invoices or regular paper invoices in the form of general invoices or VAT special invoices on the platform. The invoice tax rate is determined according to national tax laws and regulations, and you should also provide sufficient invoicing information.

Additionally, you should fill in detailed mailing addresses or email addresses so that Guance Future can send the invoices. If you choose to issue paper invoices, Guance Future will mail the regular paper invoices to your mailing address upon receiving the invoicing application, and the shipping costs will be borne by you; if you choose to issue electronic invoices, Guance Future will send the electronic invoices to your email in the form of emails upon receiving the invoicing application.

(Three) Corporate Member Price Function for Alibaba Cloud Services/Products

Based on the offline agreement signed between you and Guance Future, corporate members can enjoy corporate member prices to purchase Alibaba Cloud services/products on the Guance Billing Center (hereinafter referred to as "corporate member price function"), specifically as follows:

Function Activation

You should submit your company name, business license, and other information. Guance Future will review the information and application you submitted within 2 working days after receiving the application and notify you of the review results through the Guance Billing Center. Successful review means that you have successfully activated the corporate member price function. Guance Future will open a new Alibaba Cloud account for you, and this account will automatically associate with Guance Future's Alibaba Cloud account. You can only use this account on the Guance Billing Center to purchase Alibaba Cloud services/products at corporate member prices.

You should ensure that, without Guance Future's consent, your Alibaba Cloud account does not associate with any other Alibaba Cloud account except Guance Future's, otherwise Guance Future has the right to dissolve the association between your Alibaba Cloud account and Guance Future's account.

Price Composition

The corporate member price consists of two parts: console price and service charges, i.e., corporate member price = console price + service charges.

The console price refers to the very favorable price obtained by Guance Future through its long-term strategic partnership with Alibaba Cloud for purchasing Alibaba Cloud services/products.

Service charges refer to the service fees charged by Guance Future as consideration for obtaining the console price.

Charging Standards

The Guance Billing Center will charge corresponding service fees according to the offline agreement signed between you and Guance Future.

Price Ceiling Commitment

Guance Future commits that at any time, the corporate member price will not exceed the price of the same Alibaba Cloud services/products provided on Alibaba Cloud's official website (https://www.aliyun.com/). If the sum of the console price and service charges exceeds the official Alibaba Cloud price, Guance Future will reduce the service charges to ensure that the corporate member price does not exceed the official Alibaba Cloud price.

Precautions

To ensure you can normally purchase Alibaba Cloud services/products, you should maintain a minimum balance of 100 yuan in your Alibaba Cloud account throughout the cooperation period.

Special Note: All consumption amounts incurred from purchasing Alibaba Cloud services/products through the Guance Billing Center's corporate member price function will be borne by Guance Future's Alibaba Cloud account, and the official Alibaba Cloud will not deduct the balance in your Alibaba Cloud account.

Article Four Website Service Usage Guidelines¶

To effectively protect your legal rights and interests in using this service, you understand and agree to abide by the following rules:

Instructions you send to Guance Future via one or more of the following methods will all be regarded as your own instructions, non-revocable or cancellable, and you should bear responsibility for any results arising from Guance Future executing these instructions:

1.1 All operations conducted through your Guance Future account and password.

1.2 All information sent to Guance Future via the mobile phone number bound to your account.

1.3 All information sent to Guance Future via other hardware, terminals, software, codes, encodings, codes, other account names, etc., bound to your account, whether tangible or intangible.

1.4 Other methods agreed upon by Guance Future and you or recognized by Guance Future.

During the process of using this service, the content of this service agreement, prompts on the page about transaction operations, or information sent by Guance Future to your mobile phone (SMS or phone call, etc.) are the relevant rules for using this service. Using this service indicates that you agree to accept the relevant rules of this service. You understand and agree that Guance Future has the right to unilaterally modify the relevant rules of the service without seeking your consent, and the service rules should be based on the prompts on the page when you use the service (or SMS or phone call sent to the mobile phone), and you agree to abide by the service rules as a prerequisite for using this service.
Guance Future may notify you of the progress of the service via email (or SMS or phone call sent to your mobile phone), but Guance Future does not guarantee that you will receive or timely receive the email (or SMS or phone call sent to the mobile phone), and Guance Future will not bear any consequences. Therefore, during the service process, you should promptly log in to the website to check and perform transaction operations. For any disputes or losses arising from your failure to timely view and modify the service status or confirm or fail to submit relevant applications, Guance Future will not bear any responsibility.
You authorize Guance Future to verify your identity and qualifications by querying third parties, thereby obtaining relevant data for your use of this service.
Before using a particular product or service of Guance Future, you may need to sign a separate service agreement with Guance Future regarding that product or service. You can only use the product or service after accepting all the contents of the service agreement; if you do not agree with part or all of the service agreement, please do not proceed with subsequent operations.
When using Guance Future services, Guance Future has the right to charge service fees according to the corresponding product/service charge introduction, orders, and/or relevant agreements, as announced on the page when you use this service or as agreed in other written agreements between you and Guance Future.
Special Reminder

7.1 Some Guance Future services, after being activated, even if you do not add new service items or resources, nor perform new operations, charges and deductions will continue due to resource occupation. Please note to replenish your account in time to ensure the service is not terminated, or you should promptly terminate the service.

7.2 After being terminated due to overdue payments, you are still required to pay off the outstanding fees. Otherwise, Guance Future reserves the right to charge late fees according to this service agreement.

Appeals and Handling

8.1 During the process of using Guance Future services, if any of the circumstances listed in this service agreement occur, Guance Future may take measures including but not limited to stopping all or part of the services, restricting all or part of the service functions, freezing all or part of the account funds, etc., and Guance Future will notify you via email, in-site messages, SMS, or phone calls to appeal according to the corresponding procedures.

8.1.1 If you appeal through the appeal process and apply to Guance Future to lift the restrictions or unfreeze or restore the services, you should truthfully provide identity proof and other materials as required by Guance Future, as well as other information or documents required by Guance Future for verification. You should fully understand that your appeal may not necessarily be allowed, and Guance Future has the right to decide whether to agree with your appeal request based on its own judgment.

8.1.2 You understand and agree that if you refuse to truthfully provide identity proof and other materials, or fail to pass the Guance Future review, Guance Future has the right to permanently freeze such accounts and permanently restrict the partial or full functionality of such products or services.

Regarding Third Parties

9.1 If you obtain any product or service from a third party by using this service, you may also be subject to the relevant terms and conditions of that third party. Guance Future does not interfere and assumes no responsibility for this, and this service agreement does not affect your legal relationship with that third party.

9.2 You confirm and agree that all associated companies of Guance Future are third-party beneficiaries of this service agreement, and the associated companies of Guance Future have the right to directly enforce and rely on any provisions in this service agreement that grant them benefits. Apart from this, no third party shall be a third-party beneficiary of this service agreement.

Article Five Rights and Obligations of Users¶

(One) Rights and Obligations

You have the right to enjoy internet technology and information services provided by Guance Future and have the right to receive technical support, consultation, and other services from Guance Future when using its services. The service content is detailed on the relevant product introductions on this website.
You guarantee not to use technical or other means to disrupt or interfere with this website and the websites of other Guance Future clients.
You should respect the intellectual property rights and other legitimate rights of Guance Future and other third parties and ensure that in the event of any illegal incidents involving infringement of these rights, you will make every effort to protect Guance Future and its shareholders, employees, partners, etc., from being affected or suffering losses due to such incidents. Guance Future reserves the right to terminate providing services to you and not refund any amounts if you infringe upon the legitimate rights and interests of Guance Future.
You should bear full responsibility for any consequences resulting from incorrect contact information provided to Guance Future or poor security and stability of the email account used to receive Guance Future emails, including but not limited to the consequences and losses incurred due to your failure to timely receive relevant notifications from Guance Future.

(Two) Guarantee

You guarantee that when using Guance Future products or services, you will comply with national, local laws, regulations, industry practices, and social public morals, and will not use the services provided by Guance Future to store, publish, disseminate the following information and content: any content (information) violating national laws and regulations; political propaganda and/or news information violating national regulations; information involving national secrets and/or security; feudal superstition and/or obscene, pornographic, vulgar information or criminal incitement information; gambling games with prizes; information violating national ethnic and religious policies; information obstructing the safe operation of the Internet; information infringing upon the legitimate rights and interests of others; and/or other information detrimental to social order, public security, and public morals. You also commit not to provide any convenience for others to release information content not complying with national regulations and/or this service agreement, including but not limited to setting URLs, BANNER links, etc.
When using Guance Future products or services, you should comply with the service terms signed between you and Guance Future, the management standards, processes, service descriptions, price descriptions, and the content you confirmed agreeing to on the ordering page on www.boss.guance.com, including but not limited to:

2.1 Paying on time.

2.2 No acts of destroying or attempting to destroy network security.

Neither you nor your affiliates are targets of trade restrictions, sanctions, or other legal restrictions implemented by any country, international organization, or region. If you violate the above guarantees, Guance Future has the right to take measures such as deleting information, suspending services, terminating services, and restricting functions such as purchasing new products or services or renewing services in your account. If your actions cause losses to Guance Future, you should compensate.
If the service you use contains downloadable Guance Future software, Guance Future only grants you a non-exclusive, non-transferable, non-commercial personal use license. Unless Guance Future explicitly states otherwise or has other agreements with you, you may not copy, modify, publish, sell, or rent any part of the service or the contained software, nor reverse engineer or attempt to extract the source code of the software.

Article Six Rights and Obligations of Guance Future¶

Guance Future should provide qualified network technology and information services based on the services you choose and the payments you make.
Guance Future commits to maintaining confidentiality of your information and not disclosing it to third parties, except:

2.1 According to the provisions of this service agreement or other service agreements, contracts, online terms, etc., between you and Guance Future.

2.2 As required by laws and regulations.

2.3 Administrative, judicial, and other competent authorities require Guance Future to provide.

2.4 You agree for Guance Future to provide to third parties.

2.5 Guance Future submits for resolving complaints, initiating lawsuits.

2.6 Guance Future takes necessary and reasonable actions to prevent serious illegal acts or suspected criminal acts.

2.7 Guance Future provides products, services, and information to third parties to provide you with products, services, and information, including situations where Guance Future provides you with products, services, and information through the technology and services of third parties.

Guance Future has the right to deduct relevant service fees directly from your cash balance according to the provisions of this service agreement based on your use of services.
When any of the following situations exist, Guance Future has the right to freeze part or all of the funds under your name:

4.1 National laws, regulations, policies, legal documents stipulate.

4.2 National competent authorities require freezing.

4.3 Your use of Guance Future services is suspected of violating national laws, regulations, and administrative provisions.

4.4 Guance Future reasonably judges, based on single-sided judgment, that your account operations, capital inflows and outflows, etc., are abnormal.

4.5 Others mistakenly remit funds to your account, leading to potential unjust enrichment.

4.6 You are complained against by others, and the complainant has provided certain evidence.

4.7 Guance Future reasonably judges, based on its own judgment, that risks may arise in other situations.

After Guance Future freezes your account funds according to the aforementioned provisions, it will notify you via email, in-site messages, SMS, or phone calls to appeal according to the corresponding procedures. If you appeal according to Guance Future's requirements and pass the review by Guance Future, Guance Future will immediately lift the fund freeze measures; if you do not apply within the specified time or your appeal fails to pass Guance Future's review, you confirm that Guance Future has the right to permanently freeze the funds or return the frozen amounts to the original recharge source account (including but not limited to bank accounts).

Article Seven Privacy and Other Personal Information Protection¶

Once you agree to this service agreement or use this service, you agree to Guance Future using and disclosing your personal information according to the following terms.

(One) Login Name and Password

When registering an account, Guance Future will ask you to set a login name and password for your Guance Future account to identify your identity, and set password hint questions and answers to confirm your identity in case you lose your password. You can only use this account through the password you set. If you leak your password, you may lose your personal identification information and may face adverse legal consequences. If your account and password are at risk for any reason, you should immediately contact Guance Future. Before Guance Future takes action, Guance Future assumes no responsibility.

(Two) Bank Account Information

If the services provided by Guance Future require you to provide your bank account information, after you provide the corresponding information, Guance Future will strictly fulfill the relevant confidentiality agreements.

(Three) Login Records

To ensure the safety of using this service and continuously improve service quality, Guance Future will record and save your login and use-related information, but Guance Future commits not to provide this information to any third party (unless otherwise agreed or required by laws and regulations or Guance Future's affiliated companies).

(Four) Advertising

Guance Future will comprehensively statistically analyze the identity data of Guance Future users and use or disclose it for sales and reward purposes.

(Five) External Links

This website contains links to other websites, but Guance Future assumes no responsibility for the privacy protection measures of other websites. Guance Future may increase commercial partners or co-branded websites whenever needed.

(Six) Security

Guance Future only provides corresponding security measures according to existing technology to prevent the loss, misuse, and tampering of information held by Guance Future. These security measures include backing up data to other servers and encrypting user passwords. Despite these security measures, Guance Future does not guarantee the absolute security of this information.

(Seven) User Information

When you complete account registration or activate your account, you should provide Guance Future with your real name, address, nationality, telephone number, and email address. You can also choose to fill in related additional information (including but not limited to your company's province and city, time zone, and postal code, fax number, personal homepage, and your position).

By agreeing to this service agreement, you indicate that you agree with the terms listed by Guance Future and agree that Guance Future will disclose this personal information to authorized service providers and relevant third parties. You further understand and agree that when agreeing to this service agreement or submitting your personal information to Guance Future, you are transferring your data from your country to mainland China, and such transfer is a necessary step to fulfill the agreement between you and Guance Future and/or to provide you with the requested services.

(Eight) User Business Data

Through using the services/products provided by Guance Billing Center, you process, store, upload, download, distribute, and handle data through other methods, all of which constitute your user business data, and you fully own your user business data. Guance Future will strictly follow your instructions to handle your business data and will not use or disclose your business data in any unauthorized manner, except as negotiated with you or as required by clear laws and regulations.

You further agree that Guance Future:

Sends you customized information or new product/service information via email, phone (including voice calls, faxes, or messages, if you indicate that we can contact you in this way).
Uses your personal information for enhanced or analytical statistical functions, or uses or discloses personal information for sales or promotional purposes.

Article Eight System Interruption or Failure¶

The system may not function properly due to the following conditions, preventing you from using various internet services, and Guance Future assumes no liability for damages. These conditions include but are not limited to:

During system maintenance by Guance Future.
Telecommunication equipment malfunctions and cannot transmit data.
Due to typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, and other force majeure factors, causing Guance Future's system to malfunction and unable to conduct business.
Service interruptions or delays caused by hacker attacks, technical adjustments or failures by telecommunication departments, website upgrades, banking issues, etc.

Article Nine Scope and Limitation of Liability¶

Guance Future is only responsible for the scope of responsibilities listed in this service agreement.
The quality and content of services provided by cooperative units of this service are the sole responsibility of those cooperative units.
You understand and agree that any third-party claims arising from your use of this service, violation of this service agreement, or any actions taken under your account, shall be borne solely by you. If such claims result in Guance Future and its associated companies, employees, customers, and partners being claimed by third parties, you are responsible for handling the matter and bearing all resulting liabilities.
To the extent permitted by law, Guance Future assumes no liability for any indirect, punitive, special, consequential losses (including but not limited to business losses, revenue losses, profit losses, use data, goodwill, or other economic benefit losses) arising from or related to this service agreement, regardless of how they arise, whether by breach of this service agreement (including breach of warranty) or by tort, even if previously advised of the possibility of such losses. Furthermore, even if the exclusive remedies provided in this service agreement fail to achieve their fundamental purpose, Guance Future's liability for the aforementioned losses should be excluded.
Unless otherwise specified in this service agreement or agreed separately between Guance Future and you regarding a specific product and/or service, you agree that the total liability of Guance Future under this service agreement shall not exceed the total amount of service fees collected from you for the relevant service.

Article Ten Complete Agreement¶

This service agreement consists of this service agreement and various rules displayed on this website, and relevant terms can be cross-referenced. In case of differing interpretations, this service agreement prevails.
The section titles in this service agreement are for convenience of writing and do not have legal or contractual effect.
By understanding and agreeing to this service agreement, you also understand and agree to all components of this service agreement, and once you use this service, you and Guance Future are bound by all components of this service agreement.
If part of the content of this service agreement is deemed illegal by a court with jurisdiction, it does not affect the effectiveness of the other content.

Article Eleven Trademark and Intellectual Property Protection¶

Except for third-party products or services, all content on this website, including but not limited to works, images, archives, information, data, structures, page designs, etc., are legally owned by Guance Future or its associated enterprises, including but not limited to trademark rights, patent rights, copyright, trade secrets, etc.
Without the written consent of Guance Future or its associated enterprises, no one may use, modify, reproduce, publicly disseminate, alter, distribute, issue, or publicly disclose the programs or content on this website.
Respecting intellectual property rights is your obligation, and if violated, you should bear the responsibility for damages.

Article Twelve Notice Delivery¶

You understand and agree that Guance Future may, based on its own judgment, deliver notices to you through webpage announcements, emails, text messages, or conventional mail, and Guance Future can rely on the contact information you provide being complete, accurate, and currently valid; such notices are considered delivered on the date of sending.
Unless otherwise specified in this service agreement or a separate agreement between Guance Future and you clearly specifies the notification method, any notice you send to Guance Future should be delivered through the officially published contact information of Guance Future, including communication addresses, fax numbers, email addresses, etc.

Article Thirteen Applicable Law and Jurisdiction¶

This service agreement's validity, interpretation, amendment, execution, and dispute resolution all apply to the laws of the People's Republic of China. Any disputes arising from this service agreement shall be handled according to the laws of the People's Republic of China and adjudicated by the Shanghai Pudong New Area Court.
