Guance Billing Center Service Agreement

This service agreement is a legally binding contract between the operator of the Guance Billing Center, Shanghai Guance Future Information Technology Co., Ltd. (hereinafter referred to as "Guance"), and the user (hereinafter referred to as "you"). Guance provides the products and services displayed on this website (hereinafter referred to as "this service") and will continuously update the service content. The latest service is subject to the product and service introduction pages on this website and the actual services provided to users.

Article 1 General Provisions

You confirm: Before using this service, you have fully read, understood, and accepted all the contents of this service agreement (especially the content marked in bold and/or underlined). By choosing "Agree" and completing the registration process or using this service, you agree to comply with all the terms of this service agreement.

You agree: Guance has the right to unilaterally change this service agreement and the corresponding service rules at any time and has the right to publish such changes through message push notifications, web announcements, etc., without needing to notify you separately; if you continue to use this service after the announcement of changes to this service agreement, it indicates that you have fully read, understood, and accepted the modified agreement content and will follow the modified terms when using this service; if you do not agree with the modified service terms, you should immediately stop using this service.

Article 2 Account

Registration

  1. Qualifications for Registration

1.1 You confirm that when you complete the registration process or use this service in any other way permitted by Guance, you should be a natural person, legal entity, or other organization (hereinafter collectively referred to as "legal entity") with full civil rights capacity and full civil conduct capacity.

1.2 If you are a minor or a person with limited civil capacity, you do not have the aforementioned qualifications. You and your guardian shall bear all consequences resulting from your improper registration behavior, and Guance has the right to cancel (permanently freeze) your account and seek compensation from you and your guardian.

  1. Registration, Accounts, and Real-name Authentication

2.1 After you fill out the information as prompted on the registration page, read and agree to this service agreement, and complete the entire registration process, or after you fill out the information as prompted on the activation page, read and agree to this service agreement, and complete the entire activation process, or use the services of this website in any other way permitted by Guance, you are bound by this service agreement. You can use the email address, phone number, or any other method allowed by Guance as a login means to access this website.

2.2 You understand and agree that once you complete the registration process on this website and register successfully, you will have obtained a Guance Billing Center account.

2.3 Currently, Guance Billing Center allows one legal entity to own only one platform account. Unless there is a legal provision or effective legal document, or unless it meets the conditions published by Guance, you may not transfer, gift, or allow others to inherit your Guance Billing Center account in any way. At the same time, when transferring, gifting, or inheriting a Guance Billing Center account under eligible conditions, Guance has the right to require you and/or the transferee, donee, or your heir to provide qualified documents and follow the operational procedures specified by Guance.

2.4 You understand and agree that to ensure account and transaction security, Guance has the right to require you to complete real-name authentication for your Guance Billing Center account at any time, such as requiring individuals to provide [ID card, phone number], etc., and enterprises to provide [business license, unified social credit code certificate, legal representative information], etc.; at the same time, Guance may require you to provide more identity information, company information, and business registration certificates for certain products or services to further verify your identity or qualifications. Only after passing these verifications can you obtain the qualification to use related products or services.

Information

  1. When completing the registration or activation process, you should provide accurate information and update it promptly according to legal requirements and the prompts on the corresponding page to ensure its truthfulness, timeliness, completeness, and accuracy. If there is reasonable suspicion that the information you provide is incorrect, untrue, outdated, or incomplete, Guance has the right to issue inquiries and/or request corrections and has the right to directly delete the relevant information until suspending or terminating part or all of the services provided to you. Guance assumes no responsibility for this, and you will bear any direct or indirect losses and adverse consequences arising from this.

  2. You should accurately fill in and update the email address, contact phone number, mailing address, postal code, and other contact information you provide to facilitate effective communication between Guance or other members and you. Any loss or additional costs incurred due to the inability to contact you through these contact methods while using Guance services should be borne entirely by you. You understand and agree that you are obligated to keep the contact information you provide valid, and if changes are needed, you should follow the procedures required by Guance, supplementing and perfecting personal/enterprise information.

Account Security

  1. You must take responsibility for keeping your Guance Billing Center account and password confidential and be responsible for all activities conducted under this login name and password (including but not limited to information disclosure, posting information, online clicking to agree or submit various rules and agreements, renewing agreements online, or purchasing services, etc.). You agree: (a) If you discover that anyone unauthorized uses your Guance Billing Center account and password, or any breach of confidentiality occurs, you will immediately notify Guance and authorize Guance to take appropriate action; (b) Ensure that you log out correctly at the end of each internet session. Guance cannot and will not be responsible for any loss or damage caused by your failure to comply with this provision. You understand that Guance needs reasonable time to act on your request and that Guance does not assume any responsibility for consequences (including but not limited to any loss you incur) before taking action.

  2. Unless there is a legal provision or judicial ruling and with the consent of Guance, your account login and password cannot be transferred, gifted, or inherited in any way (except for property rights associated with the account).

  3. You understand and agree that Guance has the right to understand the true background and purpose of your use of this website's products and services and has the right to require you to provide true, comprehensive, and accurate information. If Guance has reasonable grounds to suspect that the information you provide is not true or that you engage in fraudulent transactions, or if your actions violate Guance's website rules, Guance has the right to temporarily or permanently restrict the use of all or part of the products and/or services under your account.

  4. You understand and agree that based on operational and transactional security needs, Guance has the right to temporarily suspend or restrict some or all of the payment functions under your account. Guance will notify you via email, site messages, SMS, or telephone, and you should pay attention to and follow up with the appeal process as required.

  5. You understand and agree that Guance has the right to comply with the requirements of national judicial, administrative, military, and security agencies (including but not limited to public security organs, procuratorates, courts, customs, tax authorities, security departments, etc.) to query, freeze, or deduct your personal information and funds, transactions, and accounts on this website.

Account Cancellation

  1. Guance reserves the right to suspend or terminate providing part or all of the services to you, or even cancel your Guance account, if you violate national or local laws and regulations or this service agreement.

  2. Login Name Cancellation

2.1 You understand and agree that if you do not use your email, mobile phone, or other methods recognized by this website and password to log in to this website for 12 consecutive months, and there are no unpaid services under your account, Guance has the right to cancel your login name, and you will no longer be able to log in to the Guance Billing Center website.

2.2 You agree and authorize Guance-related websites/apps. If you commit fraud, post or sell counterfeit goods, infringe on the legitimate rights and interests of others, or engage in other serious violations of any Guance rule on any Guance-related website/app, that website/app has the right to disclose this within the scope of Guance. Your Guance Billing Center login name may be canceled, and you will no longer be able to log in to the Guance Billing Center-related websites/apps, and the Guance website/app services will also terminate.

  1. You guarantee that you will not take any actions that affect, harm, or potentially affect or harm Guance, Guance's affiliated companies, or any other entities, websites' legitimate rights and interests. Such actions include but are not limited to:

3.1 Violating any service agreement/terms, management norms, trading rules, etc., published by Guance.

3.2 Disrupting or attempting to disrupt Guance's fair trading environment or normal trading order.

3.3 Using any form containing Guance's company name, brand, or any other indication or mapping suggesting a relationship with Guance.

3.4 Any other situation that Guance reasonably deems similar or potentially risky as described above. You acknowledge that Guance has the right to terminate providing services to you if you violate these agreements, and all related services will also terminate simultaneously.

Article 3 Corporate Member Features

After registering an account on the Guance Billing Center, you can log in to the platform and enjoy trial features of some services/products. Only after becoming a corporate member can you activate the wallet feature and enjoy better services/products provided by Guance Billing Center.

Application and Activation of Corporate Membership

  1. You can apply to become a corporate member on the Guance Billing Center and provide information and materials such as your company name and business license as required by Guance Billing Center. Guance will review the information and application you submit within 3 working days after receiving it and notify you of the review results through Guance Billing Center. Successful review indicates that you have successfully activated the corporate membership function.

  2. Guance Billing Center will send you a bill every month informing you of your consumption for that month.

Wallet Feature for Corporate Members

  1. Guance Billing Center will open a wallet for each corporate member, which includes two parts: cash balance and credit limit. The cash balance is formed by your recharge, while the credit limit is granted based on your offline agreement with Guance or reviewed by Guance based on your qualifications for post-payment usage.

  2. You can use the cash balance and credit limit to purchase Guance Billing Center services/products. Guance will settle daily based on your usage of Guance Billing Center services/products, deducting the cash balance first. If the cash balance is insufficient, the credit limit will be deducted. When your cash balance is sufficient to cover the Guance Billing Center services/products consumed, Guance Billing Center will not deduct your credit limit; if your cash balance is insufficient, Guance Billing Center will default to deducting your credit limit, but in such cases, you will not be allowed to exceed the credit limit range to purchase Guance Billing Center services/products.

  3. Guance Billing Center will give you a 15-day billing period for your consumption within the credit limit range. This amount will expire 15 days after your consumption.

  4. You can recharge your account through the corresponding payment methods on the client (including but not limited to mobile, website, and other third-party payment channels). During recharging, you can also enjoy the recharge discounts offered by Guance Billing Center (if available, please refer to the recharge agreement). When your account's credit limit is less than the upper limit of the credit limit, your recharge amount will first make up the difference between the current credit limit and the upper limit of the credit limit, and the remaining amount will be stored in your account as cash balance.

  5. When both your cash balance and credit limit are exhausted, you enter a suspended state, and Guance has the right to temporarily revoke your eligibility to use other unpaid services/products purchased on the platform.

  6. When the consumption amount within the credit limit range expires, you enter an overdue state, and Guance has the right to take one or more of the following measures:

6.1 Except for the services/products you have paid for on Guance Billing Center, Guance has the right to temporarily revoke your eligibility to use other unpaid services/products purchased on the platform.

6.2 Guance has the right to issue a termination notice and unilaterally terminate this service agreement and require you to pay 20% of the payable amount as a termination penalty.

6.3 From the date Guance issues the termination notice, you should pay Guance a late fee of 0.5% per day of the payable amount.

6.4 For data related to Guance Billing Center, Guance has the right to handle and destroy it.

  1. Invoice Application

After receiving the bill recording your monthly consumption on Guance Billing Center, you can choose to apply for invoices in the form of electronic invoices or ordinary paper invoices on the platform, either as general invoices or VAT special invoices. The invoice tax rate is determined according to national tax laws and regulations, and you should provide sufficient invoicing information.

Additionally, you should fill in detailed mailing addresses or email addresses so that Guance can send the invoices. If you choose to issue paper invoices, Guance will mail the ordinary paper invoices to your mailing address after receiving the invoicing application, and the shipping costs will be borne by you. If you choose to issue electronic invoices, Guance will send the electronic invoices to your email in the form of emails after receiving the invoicing application.

Alibaba Cloud Services/Product Corporate Member Price Feature

Based on the offline agreement signed between you and Guance, corporate members can enjoy corporate member prices to purchase Alibaba Cloud services/products on Guance Billing Center (hereinafter referred to as "Corporate Member Price Feature"). Specific details are as follows:

  1. Feature Activation

You need to submit your company name, business license, and other information. Guance will review the information and application you submit within 2 working days after receiving them and notify you of the review results through Guance Billing Center. Successful review indicates that you have successfully activated the corporate member price feature. Guance will create a new Alibaba Cloud account for you, which will automatically associate with Guance's Alibaba Cloud account. You can only use this account on Guance Billing Center to purchase Alibaba Cloud services/products at corporate member prices.

You should ensure that, without Guance's consent, your Alibaba Cloud account is not associated with any other Alibaba Cloud account except Guance's, otherwise, Guance has the right to disassociate your Alibaba Cloud account from Guance's account.

  1. Price Composition

The corporate member price consists of console price and service charges, i.e., corporate member price = console price + service charges.

The console price refers to the very favorable price obtained by Guance through its long-term strategic partnership with Alibaba Cloud.

Service charges refer to the fees charged by Guance as consideration for obtaining the console price.

  1. Charging Standards

Guance Billing Center will charge the corresponding service charges based on the offline agreement signed between you and Guance.

  1. Price Cap Commitment

Guance commits that at any time, the corporate member price will not be higher than the price of the same Alibaba Cloud service/product on the official Alibaba Cloud website (https://www.aliyun.com/). If the sum of the console price and service charges exceeds the official Alibaba Cloud price, Guance will reduce the service charges to ensure that the corporate member price does not exceed the official Alibaba Cloud price.

  1. Precautions

To ensure you can normally purchase Alibaba Cloud services/products, you should maintain a balance of no less than RMB 100 in your Alibaba Cloud account during the cooperation period.

Special Note: The consumption incurred from purchasing Alibaba Cloud services/products through the Guance Billing Center corporate member price feature is borne by Guance's Alibaba Cloud account, and the official Alibaba Cloud will not deduct the balance in your Alibaba Cloud account.

Article 4 Website Service Usage Rules

To effectively protect your legitimate rights and interests in using this service, you understand and agree to accept the following rules:

  1. Instructions you send to Guance through the following methods, including but not limited to:

1.1 All operations performed using your Guance account and password.

1.2 All information sent to Guance through the mobile phone number linked to your account.

1.3 All information sent to Guance through other hardware, terminals, software, codes, encodings, codes, other account names, etc., linked to your account.

1.4 Other methods agreed upon by Guance or recognized by Guance.

All instructions issued by you in the above ways are deemed to be issued by you personally and cannot be revoked or withdrawn. You should be responsible for any results arising from Guance executing the above instructions.

  1. In the process of using this service, the content of this service agreement, prompts about transaction operations on the page, or information sent to your mobile phone by Guance (SMS or phone calls, etc.) are the relevant rules for using this service. By using this service, you agree to accept the relevant rules. You understand and agree that Guance has the right to unilaterally modify the relevant rules of the service without seeking your consent. The service rules should be based on the page prompts (or SMS or phone calls sent to the mobile phone) when you use the service. Agreeing to and complying with the service rules is a prerequisite for you to use this service.

  2. Guance may notify you of service progress and prompt you to take the next step via email (or SMS or phone calls sent to your mobile phone), but Guance does not guarantee that you will receive or timely receive the email (or SMS or phone calls sent to the mobile phone), and Guance will not bear any consequences. Therefore, during the service process, you should promptly log in to the website to view and perform transaction operations. For any disputes or losses caused by not viewing the service status in time, modifying or confirming it, or failing to submit relevant applications, Guance will not bear any responsibility.

  3. You authorize Guance to verify your identity and qualifications by contacting third parties and obtain relevant information for using this service.

  4. Before using a specific product or service of Guance, you may need to sign a separate service agreement with Guance. You can only use the product or service after accepting all the contents of the service agreement; if you do not agree with part or all of the service agreement, you should not proceed with subsequent operations.

  5. When you use Guance services, Guance has the right to charge service fees according to the relevant product/service charge introduction, orders, and/or related agreements. Guance has the right to set and adjust service fees, and the specific service fees shall be based on the charging method announced on the page when you use this service or other written agreements reached between you and Guance.

  6. Special Notice

7.1 For some Guance services, even if you do not add new service items or resources, or do not perform new operations, the charges and deductions for occupying resources will continue to occur. Please note to replenish the funds in your account in time to ensure that the service is not terminated, or you should promptly terminate the service.

7.2 When your service is terminated due to arrears, you still need to pay off the outstanding fees. Otherwise, Guance reserves the right to charge you late fees according to this service agreement.

  1. Appeals and Handling

8.1 In the process of using Guance services, you may be subject to measures taken by Guance, including but not limited to stopping all or part of the service, restricting all or part of the service functions, freezing all or part of the account funds, etc., because of the circumstances listed in this service agreement. Guance will notify you via email, site messages, SMS, or phone calls, etc., to follow the corresponding procedures for appeals.

8.1.1 To apply for lifting the restrictions or unfreezing or restoring the service through the appeal process, you should provide identity proof and other materials required by Guance truthfully, as well as other information or files required by Guance, to facilitate verification. You should fully understand that your appeal may not necessarily be approved, and Guance has the right to decide whether to approve your appeal request based on its own judgment.

8.1.2 You understand and agree that if you refuse to provide identity proof and other materials truthfully, or fail to pass Guance's review, Guance has the right to indefinitely freeze the account and restrict the partial or full functionality of the related products or services.

  1. Third Parties

9.1 If you obtain any products or services from third parties through the use of this service, you may also be subject to the relevant terms and conditions of those third parties. Guance does not intervene or assume any responsibility for this, and this service agreement does not affect your legal relationship with the third party.

9.2 You confirm and agree that Guance's associated companies are third-party beneficiaries of this service agreement, and Guance's associated companies have the right to enforce and rely on any provisions in this service agreement that grant them benefits. Apart from this, no other third party shall be a third-party beneficiary of this service agreement.

Article 5 Rights and Obligations of Users

Rights and Obligations

  1. You have the right to enjoy the internet technology and information services provided by Guance and have the right to receive technical support, consultation, and other services from Guance when using the services provided by Guance. Service details are provided on the product introduction page of this website.

  2. You guarantee not to use any technical or other means to disrupt or disturb this website and the websites of other Guance clients.

  3. You should respect the intellectual property rights and other legitimate rights of Guance and other third parties and ensure that in case of any illegal events involving infringement of the aforementioned rights, you will try your best to protect Guance and its shareholders, employees, partners, etc., from being affected or suffering losses; Guance reserves the right to terminate providing services to you and not refund any payments if you infringe on Guance's legitimate rights and interests.

  4. You should bear all consequences arising from providing incorrect contact information to Guance or having poor security and stability of the email account used to receive Guance's emails, including but not limited to the consequences and losses caused by failing to receive Guance's related notifications in a timely manner.

Guarantees

  1. You agree to abide by national and local laws and regulations, industry practices, and social public morals when using Guance's products or services, and not to store, publish, or disseminate the following information and content using Guance's services: any content (information) violating national laws and regulations; political propaganda and/or news information prohibited by national regulations; information involving national secrets and/or security; feudal superstition and/or pornographic, obscene, vulgar information or incitement to crime; gambling games like betting and lottery; information violating national ethnic and religious policies; information hindering the safe operation of the Internet; information infringing on the legitimate rights and interests of others; and/or other information harmful to social order, public security, and public morals. You also commit not to provide any convenience for others to release the aforementioned information that does not comply with national regulations and/or this service agreement, including but not limited to setting URLs, BANNER links, etc.

  2. When using Guance's products or services, you should comply with the service terms signed between you and Guance, the management norms, processes, service descriptions, price descriptions, and the content you confirmed on the subscription page on www.boss.guance.com, including but not limited to:

2.1 Paying on time.

2.2 Not engaging in any behavior that disrupts or attempts to disrupt network security.

  1. You and your affiliates are not targets of trade restrictions, sanctions, or other legal restrictions imposed by any country, international organization, or region. If you violate the above guarantees, Guance has the right to take measures such as deleting information, suspending services, or terminating services based on the relevant service terms and restrict the functions of your account, such as purchasing new products or services, renewing services, etc., partially or entirely. If your actions cause losses to Guance, you should compensate accordingly.

  2. If a service you use contains downloadable Guance software, Guance grants you a non-exclusive, non-transferable, non-commercial personal use license. Unless Guance expressly states otherwise or agrees with you otherwise, you may not copy, modify, publish, sell, or rent any part of the service or the included software, nor reverse engineer or attempt to extract the source code of the software.

Article 6 Rights and Obligations of Guance

  1. Guance should provide qualified network technology and information services based on the services you choose and the payments you make.

  2. Guance commits to keeping your information confidential and not disclosing it to third parties or authorizing third parties to use it, unless:

2.1 It is stipulated in this service agreement or other service agreements, contracts, or online terms between you and Guance.

2.2 It is required by law.

2.3 Administrative or judicial authorities require Guance to provide it.

2.4 You agree for Guance to provide it to third parties.

2.5 Guance needs to submit it to resolve reports or initiate lawsuits.

2.6 Guance needs to take necessary and reasonable actions to prevent serious illegal acts or suspected criminal activities.

2.7 Guance needs to provide it to third parties to provide products, services, or information to you, including situations where Guance provides products, services, or information to you through third-party technology and services.

  1. Guance has the right to deduct relevant service fees from your cash balance based on this service agreement and your service usage.

  2. Under any of the following circumstances, Guance has the right to freeze part or all of the funds in your account:

4.1 As required by national laws, regulations, policies, or legal documents.

4.2 As required by national authorities.

4.3 Your use of Guance services is suspected of violating national laws and regulations.

4.4 Guance reasonably judges that your account operations and fund movements are abnormal.

4.5 Others mistakenly transfer funds to your account, leading to potential unjust enrichment.

4.6 You are complained about, and the complainant has provided some evidence.

4.7 Guance reasonably judges that other situations may pose risks.

After Guance freezes your account funds according to the above regulations, it will notify you through email, site messages, SMS, or phone calls, etc., to follow the corresponding procedures for appeals. If you appeal according to Guance's requirements and pass Guance's review, Guance will immediately lift the fund freeze measures; if you do not apply within the specified time or your appeal fails to pass Guance's review, you agree that Guance has the right to freeze the funds for a long term or return the frozen funds to the original recharge source account (including but not limited to bank accounts).

Article 7 Privacy and Protection of Other Personal Information

Once you agree to this service agreement or use this service, you agree that Guance will use and disclose your personal information according to the following terms.

Login Name and Password

When you register an account, Guance will ask you to set a login name and password for identifying your identity and set password hint questions and answers to confirm your identity when you lose your password. You can only use the account through the password you set. If you leak your password, you may lose your personal identification information and may face adverse legal consequences. When your account and password are potentially or actually endangered, you should immediately contact Guance. Before Guance takes action, Guance bears no responsibility for this.

Bank Account Information

If the services provided by Guance require you to provide your bank account information, after you provide the corresponding information, Guance will strictly fulfill the confidentiality agreement.

Login Records

To ensure the safety of your use of this service and improve service quality, Guance will record and save information related to your login and use of this service, but Guance commits not to provide such information to any third party (unless both parties have other agreements or as required by laws and regulations or Guance's associated companies).

Advertising

Guance will statistically analyze the identity data of Guance users and use or disclose it for sales and rewards.

This website contains links to other websites, but Guance is not responsible for the privacy protection measures of other websites. Guance may add commercial partners or co-branded websites whenever necessary.

Security

Guance provides corresponding security measures according to existing technology to prevent the information it holds from being lost, misused, or tampered with. These security measures include backing up data to other servers and encrypting user passwords. Despite these security measures, Guance does not guarantee the absolute security of this information.

User Information

When you complete account registration or activate your account, you should provide Guance with your real name, address, nationality, phone number, and email address. You can also choose to fill in additional information (including but not limited to the province and city where your company is located, timezone, postal code, fax number, personal homepage, and position).

By agreeing to this service agreement, you indicate that you agree to the terms listed by Guance and agree to disclose this personal information to authorized service providers and relevant third parties. You further understand and agree that by agreeing to this service agreement or submitting your personal information to Guance, you are transferring your data from your country of residence to mainland China, and this transfer is a necessary step to fulfill the agreement between you and Guance and/or provide you with the services you request.

User Business Data

Through using the services/products provided by Guance Billing Center, you process, store, upload, download, distribute, and handle data through other methods, which is considered your user business data, and you fully own your user business data. Guance will strictly follow your instructions to handle your business data and will not use or disclose your business data without authorization, except as negotiated with you or as required by clear laws and regulations.

You further agree that Guance:

  1. May send you customized information or new product/service information via email, phone (including voice calls, faxes, or messages, if you agree we can contact you this way).

  2. May use your personal information for enhanced or analytical statistical features, or use or disclose personal information for sales or promotional purposes.

Article 8 System Interruption or Failure

The system may not operate normally under the following circumstances, making you unable to use various internet services. In such cases, Guance does not bear liability for damages, including but not limited to:

  1. During system maintenance downtime by Guance.

  2. Telecommunication equipment failures preventing data transmission.

  3. Force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, etc., causing system obstacles and preventing business execution.

  4. Service interruptions or delays caused by hacker attacks, adjustments or failures in telecommunication department technologies, website upgrades, bank issues, etc.

Article 9 Scope and Limitation of Liability

  1. Guance is only responsible for the scope of responsibilities clearly stated in this service agreement.

  2. The quality and content of services provided by cooperative units are the responsibility of the cooperative units themselves.

  3. You understand and agree that any third-party claims arising from your use of this service, violation of this service agreement, or any actions taken under your account shall be borne solely by you. If such actions lead to third-party claims against Guance and its affiliated companies, employees, customers, and partners, you should handle the matter and bear all resulting liabilities.

  4. To the extent permitted by law, Guance shall not be liable for any indirect, punitive, incidental, or consequential losses (including but not limited to business losses, revenue losses, profit losses, data usage losses, goodwill losses, or other economic losses) arising from or related to this service agreement, regardless of whether the claim is based on breach of this service agreement (including breach of warranty) or tort, even if Guance has been informed of the possibility of such losses. Additionally, even if the exclusive remedy provided in this service agreement fails to achieve its essential purpose, Guance shall not be liable for such losses.

Except as otherwise provided in this service agreement or specifically agreed upon by Guance and you regarding a particular product or service, you agree that Guance's total liability for this service agreement shall not exceed the total amount of service fees collected from you for the particular service.

Article 10 Complete Agreement

  1. This service agreement consists of this service agreement and various rules displayed on this website. Relevant terms can be cross-referenced. In case of different interpretations, this service agreement shall prevail.

  2. Titles of articles in this service agreement are for ease of reference and do not have legal or contractual effect.

  3. By understanding and agreeing to this service agreement, you also understand and agree to all components of this service agreement. Once you use this service, you and Guance are bound by all components of this service agreement.
