Guance Billing Center User Recharge Agreement¶
Welcome to the websites, software, and services provided by Guance Billing Center! Before using the recharge services, please read, understand, and accept all the terms of the "Guance Billing Center User Recharge Agreement" (hereinafter referred to as the "Agreement") (especially the content marked in bold and/or underlined). By selecting "Agree," you indicate your acceptance of all the terms of this Agreement.
This Agreement is entered into between the enterprise user certified by Guance Billing Center (hereinafter referred to as the "Enterprise Member") and Shanghai Guance Future Information Technology Co., Ltd. (the operator of Guance Billing Center, hereinafter referred to as "Guance Future") regarding the recharge and consumption of Guance Billing Center accounts and the use of various services provided by Guance Billing Center.
Before becoming an Enterprise Member and using the recharge services stipulated in this Agreement, you must first register as a free user of Guance Billing Center before you can be certified as an Enterprise Member of Guance Billing Center. Only Enterprise Members are eligible for recharge discounts. (especially the content marked in bold and/or underlined). By selecting "Agree," you indicate your acceptance of all the terms of this Agreement.
- Acceptance and Modification of Service Terms
1.1 Before agreeing to this Agreement, please carefully read and fully understand the rules and requirements of Guance Billing Center, as well as relevant national laws and regulations regarding internet information services. Unless you have read and accepted all the terms of this Agreement, you are not entitled to use this platform and related services. Your use, login, and other actions will be deemed as your acceptance of the constraints of this Agreement.
1.2 The terms of this Agreement may be changed by Guance Billing Center at any time, and users must regularly review this Agreement. Once the terms of this Agreement are changed, Guance Billing Center will notify users of the changes on relevant pages or through other means. The modified Agreement will take effect immediately upon publication and will replace the original Agreement. If users do not agree to any changes made by Guance Billing Center to this Agreement, they should immediately stop using the related services provided by Guance Billing Center. If users continue to use the related services of Guance Billing Center after the changes to this Agreement, it will be deemed that the users have fully agreed to the modified Agreement.
1.3 You confirm that when choosing the account recharge services under this Agreement, you should be a natural person with full civil capacity and full civil rights. If you are a minor, you should review and perform this Agreement under the supervision of your legal guardian. You must fully and strictly comply with the terms of this Agreement when enjoying the services provided by Guance Billing Center.
- Service Description
2.1 To complete the Enterprise Member certification process of Guance Billing Center, you need to provide enterprise information such as [name, address, contact information, business license] as required by the platform and follow the platform's instructions to complete the Enterprise Member certification steps. Only after becoming a certified Enterprise Member of Guance Billing Center can you enjoy the corresponding discounts when recharging.
2.2 Guance Billing Center reserves the right to supervise, prompt, and inspect all your activities when using the recharge services under this Agreement. If your actions violate relevant laws and regulations or the terms of this Agreement, Guance Billing Center has the right to request you to correct your actions and hold you accountable. If any losses are caused to Guance Billing Center, Guance Billing Center has the right to demand corresponding compensation.
2.3 All services provided by Guance Billing Center are limited to your use within Guance Billing Center (i.e., Guance Billing Center websites, software, and other content subsequently launched by Guance Billing Center). Any act of separating the service content provided by Guance Billing Center from Guance Billing Center through malicious destruction or other illegal means does not fall under the services agreed upon in this Agreement. All legal consequences arising therefrom shall be borne by the actor, and Guance Billing Center will pursue the actor's legal responsibility according to the law.
2.4 When you use the individual services provided by Guance Billing Center, your use of such services will be deemed as your acceptance of the service terms of each individual service and the various announcements issued by Guance Billing Center in such individual services.
2.5 You clearly understand and agree that there may be certain commercial risks when you pay through this method, including but not limited to illegal activities conducted by criminals using your account or bank card. Such risks may cause corresponding economic losses to you. You shall bear the consequences of pursuing the infringer's liability and the inability to pursue such liability.
2.6 You are responsible for properly and correctly storing, using, and maintaining the account, account information, and account password obtained from Guance Billing Center. You must take necessary and effective measures to keep your account information and password confidential. Guance Billing Center shall not be liable for any losses caused by the leakage of your account password due to non-Guance Billing Center reasons or improper storage, use, or maintenance by you. At the same time, for your safety and privacy, please do not share your account with others, and do not disclose your account and password to others. Otherwise, Guance Billing Center has the right to freeze accounts with abnormal usage.
- Acceptance and Modification of Service Terms
3.1 You understand and agree that Guance Billing Center has the right to provide its platform's products/services for free or for a fee. The funds in your Guance Billing Center account can be used to purchase various products/services provided by Guance Billing Center and cannot be used for any other purposes. The specific price information will be determined by Guance Billing Center and displayed on relevant service pages.
3.2 In the Guance Billing Center payment system, users can recharge their accounts through the corresponding payment methods (specific payment methods can be found on the recharge page) using the client (including but not limited to mobile phones, websites, and other third-party payment channels). Users are advised to recognize the official recharge platform of Guance Billing Center as the only recharge platform. Any adverse consequences caused by recharging through non-official channels shall be borne by the users themselves.
3.3 Only after becoming a certified Enterprise Member of Guance Billing Center can users enjoy recharge discounts. Users can check their cash balance, purchase records, and consumption records on the "Billing Management" page. The cash balance information will not be made public.
3.4 After becoming a certified Enterprise Member of Guance Billing Center, you can enjoy discounts when recharging your account through the corresponding payment methods (specific payment methods can be found on the recharge page) using the client (including but not limited to mobile phones, websites, and other third-party payment channels) according to this Agreement. The specific ratio shall be determined by the offline agreement between the user and Guance Future.
- Special Notes
4.1 Before confirming the recharge, users should carefully confirm their account and select the relevant operation options. If users mistakenly recharge the wrong account or select the wrong recharge type due to their own input errors, improper operations, or lack of understanding of the recharge billing method, Guance Billing Center will not provide any compensation or indemnity.
4.2 Users confirm that once the recharge is successful, without the written consent of Guance Future, the cash balance cannot be refunded under any circumstances, nor can it be transferred to any third party outside Guance Billing Center. If Guance Future agrees to a refund or balance transfer, users should follow the relevant rules subsequently issued by Guance Future to complete the corresponding steps.
4.3 Guance Billing Center has the right to set or modify transaction-related matters, including but not limited to transaction limits and transaction frequency, based on considerations such as transaction security. Users understand and confirm that such settings or modifications by Guance Billing Center may cause certain inconveniences to their transactions, and users have no objection to this.
4.4 Users confirm that, except as expressly stipulated by laws and regulations or otherwise agreed in this Agreement, any paid services/products purchased by users cannot be refunded or exchanged for other services for any reason.
4.5 Any losses or responsibilities arising from recharge or consumption errors caused by the user's own reasons shall be borne by the user, and Guance Billing Center shall not be liable, including but not limited to:
4.5.1 Loss of account, account suspension, or freezing due to the user's own reasons;
4.5.2 Property losses caused by the user disclosing the password to others;
4.5.3 Any losses or responsibilities caused by the user's bound third-party payment institution account;
4.5.4 Other property losses caused by the user's intentional or gross negligence or violation of laws and regulations.
4.6 When using the services provided by Guance Billing Center, if the user violates national laws and regulations, the terms of this Agreement, or other management regulations of the platform, Guance Billing Center has the right to temporarily or permanently suspend the user's account. After the account is suspended and before it is unblocked (if applicable), the balance on the user's account will be temporarily frozen or deducted in full and cannot be used to purchase products or services on the platform, and the corresponding cash value of the recharge will not be refunded.
4.7 If the recharge system of Guance Billing Center fails due to its own reasons, resulting in inaccurate user recharges, Guance Billing Center will take corresponding measures based on the user's recharge situation, provided that the platform has been restored, valid data exists, and the user provides legal and valid proof.
4.7.1 If the recharge system fails due to its own reasons, resulting in the system recharge amount being less than the actual amount received by the user, the platform will compensate the difference.
4.7.2 If the recharge system fails due to its own reasons, resulting in the system recharge amount being greater than the actual amount received by the user, the platform has the right to recover the difference.
- Disclaimer
5.1 Guance Billing Center shall not be liable for any damages if the Guance Billing Center system cannot operate normally due to the following conditions, resulting in your inability to use various services or the loss of any virtual property. These conditions include but are not limited to:
5.1.1 During the system downtime, maintenance, upgrade, or adjustment announced by Guance Billing Center;
5.1.2 When telecommunication equipment fails and data transmission cannot be performed;
5.1.3 When the Guance Billing Center system is unable to execute business due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, or government control;
5.1.4 When service interruption or delay is caused by hacker attacks, technical adjustments or failures of the telecommunications department, website upgrades, or issues with related third parties.
- Legal Liability
6.1 If any of the following circumstances occur, Guance Billing Center has the right to interrupt or terminate the provision of services under this Agreement to you without prior notice:
6.1.1 The enterprise certification information provided by you is untrue;
6.1.2 You violate any provision of this Agreement. In addition to the aforementioned circumstances, Guance Billing Center also reserves the right to interrupt or terminate part or all of the online recharge services at any time without prior notice, and to take measures including but not limited to account suspension and cash balance clearing. Guance Billing Center shall not be liable for any losses caused by the interruption or termination of recharge services to you or any third party.
6.2 If Guance Billing Center discovers or receives reports or complaints that a user has violated the terms of this Agreement, Guance Billing Center has the right to review and delete relevant content, including but not limited to user information and user records, without prior notice, and to impose penalties on the violating account, including but not limited to warnings, account suspension, device suspension, function suspension, and cash balance deduction, and to notify the user of the processing results.
6.3 Users who are suspended due to violation of the user agreement can contact Guance Billing Center customer service or sales managers to inquire about the suspension period and can self-unblock after the suspension period expires. Users who are subject to function suspension will automatically have their suspended functions restored after the suspension period expires. Suspended users can submit appeals to the relevant pages of the Guance Billing Center website, and Guance Billing Center will review the appeals and make reasonable judgments to decide whether to change the penalty measures.
6.4 Users understand and agree that Guance Billing Center has the right to take appropriate legal actions against any user who violates relevant laws and regulations or the terms of this Agreement, and to report relevant information to relevant authorities in accordance with laws and regulations. Users shall bear all legal liabilities arising therefrom.
6.5 Users understand and agree that if they violate the terms of this Agreement, resulting in any third-party claims, demands, or losses, including reasonable attorney fees, users shall compensate Guance Billing Center and its affiliated companies and protect them from damages.
- Effectiveness and Others
7.1 The validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any dispute or controversy arises between the user and Guance Billing Center, the parties shall first attempt to resolve it through friendly negotiation. If the negotiation fails, the user agrees to submit the dispute or controversy to the jurisdiction of the People's Court of Pudong New District, Shanghai.
7.2 If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.
7.3 If you have any requirements for explanatory terms, please immediately stop using the services and send an email to the official customer service of Guance Billing Center (email address: support@guance.com). If you do not send an email containing the requirements for explanatory terms to the official customer service of Guance Billing Center and choose to agree to this Agreement, both parties hereby confirm that Guance Billing Center has legally fulfilled its statutory obligation to explain the relevant terms according to your requirements, and Guance Billing Center has given you sufficient time and full choice to decide whether to enter into this Agreement.
