Guance Billing Center User Recharge Agreement

Welcome to use the website, software, and services provided by Guance Billing Center! Before using the recharge service, please read, understand, and accept all the terms of the Guance Billing Center User Recharge Agreement (hereinafter referred to as "this agreement") (especially the content marked in bold and/or underlined). Once you choose "Agree," it means that you agree to follow all the agreements in this agreement.

This agreement is established between enterprise users certified by Guance Billing Center (hereinafter referred to as "Enterprise Members") and Shanghai Guance Future Information Technology Co., Ltd. (the operator of Guance Billing Center, hereinafter referred to as "Guance Future") regarding the account recharge and consumption of Guance Billing Center accounts and the use of various services provided by Guance Billing Center.

Before becoming an Enterprise Member and using the recharge services stipulated in this agreement, you must first become a free registered user of Guance Billing Center and then proceed to certification as an Enterprise Member of Guance Billing Center. Only Enterprise Members can enjoy recharge discounts.

  1. Acceptance and Modification of Service Terms

1.1 Before agreeing to this agreement, please carefully read and fully understand the various rules and requirements of Guance Billing Center, as well as relevant laws and regulations of the country regarding such internet information services. Unless you have read and accepted all the terms of this agreement, you do not have the right to use this platform and related services. Your use, login, and other behaviors are deemed as your acknowledgment and agreement to be bound by this agreement.

1.2 The terms of this agreement may be changed at any time by Guance Billing Center, and users must regularly review this agreement. If there are any changes to the terms of this agreement, Guance Billing Center will display the changes on relevant pages or announce them through other means. The revised agreement will take effect once published and will replace the original agreement. If users disagree with any changes made by Guance Billing Center to this agreement, they should immediately stop using the related services provided by Guance Billing Center. If users continue to use Guance Billing Center's related services after the agreement has been changed, it is considered that the user has fully agreed to the revised agreement.

1.3 You confirm that when choosing the account recharge service under this agreement, you should be a natural person with full civil capacity and complete civil rights. If you are a minor, you should review and perform under the supervision of a legal guardian. When enjoying the services provided by Guance Billing Center, you must strictly comply with all the terms of this agreement.

  1. Service Description

2.1 To complete the Guance Billing Center Enterprise Member certification process, you need to provide the required enterprise information according to the platform's requirements, including [name, address, contact information, business license], and complete the certification steps as prompted by the platform. Only after becoming a certified Enterprise Member of Guance Billing Center can you enjoy corresponding discounts during recharges.

2.2 Guance Billing Center reserves the right to supervise, prompt, and inspect all activities related to the use of the recharge service under this agreement. If your behavior violates relevant laws and regulations or the terms of this agreement, Guance Billing Center has the right to require you to correct your behavior and hold you accountable. If Guance Billing Center suffers losses, it has the right to demand corresponding compensation from you.

2.3 All services provided by Guance Billing Center are limited to use within Guance Billing Center (i.e., Guance Billing Center website, software, and other content subsequently launched by Guance Billing Center). Any malicious or illegal act that separates the service content provided by Guance Billing Center from Guance Billing Center does not fall under the services agreed upon in this agreement. All legal consequences arising therefrom shall be borne by the perpetrator, and Guance Billing Center will pursue the legal responsibility of the perpetrator.

2.4 When you use each individual service provided by Guance Billing Center, your usage is deemed as your agreement to the service terms of each individual service and all announcements issued by Guance Billing Center in that individual service.

2.5 You clearly understand and agree that paying through this paid method may involve certain commercial risks, including but not limited to illegal individuals using your account or bank cards for illegal activities. Such risks may cause corresponding economic losses to you. You bear the consequences of pursuing liability from the infringing party and the inability to pursue liability.

2.6 You are responsible for properly and correctly managing, using, and maintaining the account, account information, and account password obtained through Guance Billing Center. You should take necessary and effective confidentiality measures for your account information and password. Guance Billing Center will not bear any responsibility for any losses caused by the leakage of your account password due to reasons unrelated to Guance Billing Center or improper custody, use, or maintenance by you. At the same time, for the protection of your safety and privacy, please do not share your account with others and do not disclose your account and password to others. Otherwise, Guance Billing Center has the right to freeze accounts with abnormal usage.

  1. Acceptance and Modification of Service Terms

3.1 You understand and agree that Guance Billing Center has the right to provide its platform products/services for free or require payment. The funds in your account on Guance Billing Center can be used to purchase various products/services provided by Guance Billing Center, and cannot be used for any other purposes. Specific price information will be determined by Guance Billing Center and displayed on the relevant service page.

3.2 In the Guance Billing Center payment system, users can recharge their accounts through the client they are using (including but not limited to mobile phones, websites, and other third-party payment channels) via specific payment methods (specific payment methods can be found on the recharge page). Please ensure that you only use the official recharge platform of the platform for recharging. Any adverse consequences resulting from recharging through non-official channels will be borne by the user.

3.3 Users can only enjoy recharge discounts after becoming certified Enterprise Members of Guance Billing Center. Users can check cash balances, purchase records, and consumption records on the "Bill Management" page. Cash balance-related information will not be disclosed publicly.

3.4 After becoming certified Enterprise Members of Guance Billing Center, users can enjoy discounts when recharging their accounts through the client they are using (including but not limited to mobile phones, websites, and other third-party payment channels) via specific payment methods (specific payment methods can be found on the recharge page). The specific discount ratio will depend on the offline agreement between the user and Guance Future.

  1. Special Notice

4.1 Users should carefully confirm their accounts and select relevant operation options before confirming a recharge. If damages occur due to errors in entering the account, improper operations, or lack of understanding of the recharge billing method, leading to incorrect account recharges or wrong selection of recharge types, Guance Billing Center will not provide any compensation or indemnity.

4.2 Users confirm that, unless written consent from Guance Future is obtained, under no circumstances will the cash balance support refunds or be transferable to any third parties outside Guance Billing Center. If Guance Future agrees to refund or transfer the balance, the user should complete the corresponding steps according to the rules subsequently released by Guance Future.

4.3 Users acknowledge that, except as explicitly provided by law or this agreement, any purchased fee-based services/products cannot be returned or exchanged for other services for any reason.

4.4 Users are responsible for any losses or liabilities caused by errors in recharging or consumption due to their own reasons, and Guance Billing Center will not bear any responsibility, including but not limited to:

4.4.1 Losses due to lost, banned, or frozen accounts;

4.4.2 Property losses caused by disclosing passwords to others;

4.4.3 Any losses or liabilities caused by issues with the third-party payment accounts bound by the user;

4.4.4 Other property losses caused intentionally or negligently by the user or in violation of laws and regulations.

4.5 If users violate national laws and regulations, the terms of this agreement, or other management regulations of this platform, Guance Billing Center has the right to temporarily or permanently ban the user's account. After the account is banned until it is unbanned (if applicable), the balance in the user's account will be temporarily frozen or fully deducted, cannot be used to purchase products or services on the platform, and will not be refunded to the user's corresponding cash value.

4.6 If user recharges are misrepresented due to faults in Guance Billing Center's recharge system, Guance Billing Center will take corrective actions based on the user's recharge situation if the platform recovers, valid data exists, and the user provides legitimate and valid proof.

4.6.1 If the recharge amount is less than the actual amount credited to the user's account due to faults in the recharge system, the platform will make up the difference.

4.6.2 If the recharge amount is greater than the actual amount credited to the user's account due to faults in the recharge system, the platform has the right to reclaim the difference.

  1. Disclaimer

5.1 If Guance Billing Center's system fails to operate normally due to the following situations, causing you to be unable to use various services or lose any virtual property, Guance Billing Center will not bear any liability for damages. These situations include but are not limited to:

5.1.1 During the announced system maintenance, upgrades, and adjustments of Guance Billing Center;

5.1.2 Telecommunications or equipment failures preventing data transmission;

5.1.3 Force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, government controls, etc., causing Guance Billing Center's system to fail to conduct business;

5.1.4 Interruptions or delays in services caused by hacker attacks, technical adjustments or failures by telecommunications departments, website upgrades, problems with related third parties, etc.

  1. Legal Liability

6.1 If any of the following situations occur, Guance Billing Center has the right to interrupt or terminate the provision of services under this agreement without notifying you:

6.1.1 The enterprise certification information provided by you is not true;

6.1.2 You violate any provisions of this agreement. In addition to the aforementioned scenarios, Guance Billing Center also reserves the right to interrupt or terminate part or all of the network recharge services at any time without prior notice, take measures such as banning, clearing cash balances, etc., and bear no responsibility for any losses caused by the interruption or termination of the recharge service.

6.2 If Guance Billing Center discovers or receives reports or complaints from others that users violate the provisions of this agreement, Guance Billing Center has the right to review, delete, and impose penalties on relevant content, including but not limited to user information and user records, without notice at any time, depending on the severity of the violation, including but not limited to warnings, account bans, device bans, functional bans, deduction of cash balances, and notify users of the handling results.

6.3 Users who are banned due to violation of user agreements can contact Guance Billing Center customer service or sales managers to inquire about the ban period and self-unlock after the ban period expires. Users subject to functional bans will automatically recover banned functions upon expiration of the ban period. Banned users can submit appeals on relevant pages of the Guance Billing Center website, and Guance Billing Center will review the appeal and make reasonable judgments on whether to change penalty measures.

6.4 Users understand and agree that Guance Billing Center has the right to impose penalties based on reasonable judgment for violations of relevant laws and regulations or this agreement, take appropriate legal actions against any violating users, and preserve relevant information and report to relevant authorities as required by laws and regulations. Users shall bear all legal responsibilities arising therefrom.

6.5 Users understand and agree that for any claims, demands, or losses asserted by any third party due to the user's violation of this agreement, including reasonable attorney fees, the user shall compensate Guance Billing Center and its cooperating companies and associated companies and keep them harmless.

  1. Effectiveness and Others

7.1 The validity, interpretation, and resolution of disputes of this agreement are governed by the laws of the People's Republic of China. If any disputes or controversies arise between the user and Guance Billing Center, they should first be resolved through friendly negotiations. If negotiations fail, the user agrees to submit the dispute or controversy to the jurisdiction of the Pudong New Area People's Court of Shanghai.

7.2 If any clause of this agreement becomes invalid or unenforceable for any reason, the remaining clauses remain valid and binding on both parties.

7.3 If users have any requests for clarification of terms, please immediately stop using the service and send an email to Guance Billing Center's official customer service personnel (email address: support@guance.com). If users do not send an email containing requests for clarification of terms to Guance Billing Center's official customer service personnel and instead choose to agree to this agreement, both parties hereby confirm that Guance Billing Center has fulfilled its legal obligation to explain relevant terms according to the user's request, and Guance Billing Center has given users sufficient time and full choice to decide whether to enter into this agreement.

7.4 Issues related to recharges encountered during the recharge process can also be addressed by contacting Guance Billing Center's official customer service personnel (email address: support@guance.com).
