Guance Billing Center Service Agreement¶

This Service Agreement is a legally binding contract between Guance Billing Center's operator, Shanghai Guance Future Information Technology Co., Ltd. (hereinafter referred to as "Guance Future"), and the user (hereinafter referred to as "You"). Guance Future provides the products and services displayed on this website (hereinafter referred to as "the Service") and will continuously update the service content. The latest services are subject to the relevant product and service introduction pages on this website and the actual services provided to users.

Article 1 General Provisions¶

You confirm: Before using the Service, you have fully read, understood, and accepted all the contents of this Service Agreement (especially the content highlighted in bold and/or underlined). Once you choose "Agree" and complete the registration process or use the Service, it means you agree to abide by all the terms of this Service Agreement.

You agree: Guance Future has the right to unilaterally modify this Service Agreement and the corresponding service rules at any time and may announce such changes through message push, website announcements, etc., without the need to separately notify you. If you continue to use the Service after the announcement of changes to this Service Agreement, it means you have fully read, understood, and accepted the modified agreement content and will follow the modified terms to use the Service. If you do not agree with the modified service terms, you should immediately stop using the Service.

Article 2 Account¶

(I) Registration¶

Eligibility for Registration

1.1 You confirm that when you complete the registration process or actually use the Service in other ways allowed by Guance Future, you should be a natural person, legal person, or other organization (hereinafter collectively referred to as "Legal Entity") with full civil rights and civil capacity.

1.2 If you are a minor or a person with limited civil capacity, you do not have the aforementioned eligibility. You and your guardian shall bear all the consequences caused by your improper registration behavior, and Guance Future has the right to cancel (permanently freeze) your account and claim compensation from you and your guardian.

Registration, Account, and Real-name Authentication

2.1 After you fill in the information according to the registration page prompts, read and agree to this Service Agreement, and complete all registration procedures, or after you fill in the information according to the activation page prompts, read and agree to this Service Agreement, and complete all activation procedures, or when you actually use the services of this website in other ways allowed by Guance Future, you are bound by this Service Agreement. You can use the email, mobile phone number, or other methods provided or confirmed by you as login methods to access this website.

2.2 You understand and agree that after you complete the registration process on this website and successfully register, you have obtained a Guance Billing Center account.

2.3 Currently, Guance Billing Center allows a Legal Entity to have only one platform account. Unless required by law or determined by effective legal documents, or in accordance with the conditions published by Guance Future, you may not transfer, gift, or let others inherit your Guance Billing Center account in any way. At the same time, when transferring, gifting, or inheriting a Guance Billing Center account under qualified conditions, Guance Future has the right to require you and/or the transferee, donee, or your heir to provide qualified documents and follow the operation process required by Guance Future.

2.4 You understand and agree that to ensure account and transaction security, Guance Future has the right to require you to complete the real-name authentication of the Guance Billing Center account at any time, such as requiring natural persons to provide [ID card, mobile phone number] and other information, and requiring enterprises to provide [business license, unified social credit code certificate, legal representative information] and other information; at the same time, Guance Future may require you to provide more identity information, enterprise information, and business license information for further identity authentication or qualification verification for the opening of certain products or services. Your account can only obtain the qualification to use related products or services after passing these authentications and verifications.

(II) Information¶

When completing the registration or activation process, you should provide and update your information accurately and timely according to the requirements of laws and regulations and the prompts on the corresponding pages to ensure it is true, timely, complete, and accurate. If there is a reasonable reason to suspect that the information you provided is wrong, untrue, outdated, or incomplete, Guance Future has the right to send you a notice of inquiry and/or request for correction, and has the right to directly delete the corresponding information until it suspends or terminates part or all of the services provided to you. Guance Future does not bear any responsibility for this, and you will bear any direct or indirect losses and adverse consequences caused thereby.
You should accurately fill in and timely update the email address, contact number, contact address, postal code, and other contact information provided by you so that Guance Future or other members can effectively contact you. If you cannot be contacted through these contact methods, resulting in any loss or increased costs during your use of Guance Future services, you shall bear them entirely on your own. You understand and agree that you have the obligation to keep the contact information you provided effective. If there are changes that need to be updated, you should operate according to the requirements of Guance Future, supplement and improve personal/enterprise information.

(III) Account Security¶

You must be responsible for keeping your Guance Billing Center account and password confidential, and you must be responsible for all activities (including but not limited to information disclosure, information release, online click agreement or submission of various rules and agreements, online renewal of agreements or purchase of services, etc.) that occur under your login name and password. You agree: (a) If you find anyone using your Guance Billing Center account and password without authorization, or any other situation that violates the confidentiality regulations, you will immediately notify Guance Future and authorize Guance Future to handle it accordingly; (b) Ensure that you leave the website with the correct steps at the end of each online session. Guance Future cannot and will not be responsible for any loss or damage caused by your failure to comply with this provision. You understand that it takes a reasonable time for Guance Future to take action on your request, and Guance Future is not responsible for any consequences (including but not limited to any loss of yours) that have occurred before taking action.
Unless required by law or judicial ruling and with the consent of Guance Future, your account login and password may not be transferred, gifted, or inherited in any way (except for property rights related to the account).
You understand and agree that Guance Future has the right to understand the true background and purpose of your use of this website's products and services, and has the right to require you to provide true, comprehensive, and accurate information; if Guance Future has reasonable reasons to suspect that the information you provided is untrue, you are conducting fraudulent transactions, or your behavior violates Guance Future's website rules, Guance Future has the right to temporarily or permanently restrict part or all of the functions of all products and/or services under your account.
You understand and agree that based on the needs of operation and transaction security, Guance Future has the right to temporarily suspend or restrict part or all of the fund payment functions under your account, and Guance Future will notify you through email, site letter, SMS, or phone, etc. You should pay attention to it in time and follow the procedures for appeals and other follow-up operations.
You understand and agree that Guance Future has the right to inquire, freeze, or deduct your personal information and funds, transactions, and accounts on this website according to the requirements of national judicial, administrative, military, security, and other authorities (including but not limited to public security organs, procuratorates, courts, customs, tax authorities, security departments, etc.).

(IV) Account Cancellation¶

Guance Future reserves the right to suspend or terminate part or all of the services provided to you, or even cancel your Guance Future account, if you violate national or local laws and regulations or violate this Service Agreement.
Cancellation of Login Name

2.1 You understand and agree that if you have not used your email, mobile phone, or other methods recognized by this website and password to log in to this website for 12 consecutive months, and there are no unexpired services under your account, Guance Future has the right to cancel your login name, and you will no longer be able to log in to the Guance Billing Center website.

2.2 You agree and authorize Guance Future's related websites/APPs. If you have fraud, publish or sell counterfeit goods, infringe on the legitimate rights and interests of others, or other serious violations of any Guance Future rules on any Guance Future related website/APP, the website/APP has the right to disclose this within the scope of Guance Future, and your Guance Billing Center login name may be canceled. After cancellation, you will no longer be able to log in to Guance Billing Center related websites/APPs, and Guance Future website/APP services will be terminated at the same time.

You guarantee that you will not take any actions that affect, damage, or may affect or damage the legitimate rights and interests of Guance Future, Guance Future's affiliated companies, etc. The aforementioned actions or methods that affect or damage the legitimate rights and interests of Guance Future include but are not limited to:

3.1 Violating any service agreement/terms, management norms, transaction rules, etc. published by Guance Future.

3.2 Destroying or attempting to destroy the fair transaction environment or normal transaction order of Guance Future.

3.3 Any use of Guance Future's company name, brand, and other misleading suspects, or any use of certain Chinese and English (full or abbreviated), numbers, domain names, etc. that intend to indicate or imply a relationship with Guance Future.

3.4 Guance Future, based on its own reasonable judgment, believes that it may be the same nature as the above actions or generate similar risks. You acknowledge that Guance Future has the right to terminate the services provided to you when you violate the above agreement, and all related services will be terminated at the same time.

Article 3 Enterprise Member Functions¶

After completing the account registration on Guance Billing Center, you can log in to the platform through the account and enjoy the trial functions of some services/products. Only after you become an enterprise member can you open the wallet function and enjoy better services/products provided by Guance Billing Center.

(I) Application and Activation of Enterprise Membership¶

You can apply to become an enterprise member on Guance Billing Center and provide the enterprise name, business license, and other information and materials as required by Guance Billing Center. Guance Future will review the information and application you submitted within 3 working days after receiving the application and notify you of the review results through Guance Billing Center. Approval means you have successfully activated the enterprise membership function.
Guance Billing Center will send you a bill every month to inform you of your consumption during the month.

(II) Wallet Function of Enterprise Members¶

Guance Billing Center will open a wallet function for each enterprise member, which includes cash balance and credit limit. The cash balance is formed by your recharge, and the credit limit is the amount you can use first and pay later, which is granted based on the offline agreement between you and Guance Future or after Guance Future reviews your qualifications.
You can use the cash balance and credit limit to purchase services/products on Guance Billing Center. Guance Future will settle your daily usage of Guance Billing Center services/products and deduct your cash balance according to the corresponding fees. If the balance is insufficient, the credit limit will be deducted. When your cash balance is sufficient to pay for the services/products consumed on Guance Billing Center, Guance Billing Center will not deduct your credit limit; when your cash balance is insufficient to pay for the services/products consumed on Guance Billing Center, Guance Billing Center will deduct your credit limit by default, but in this case, you will not be allowed to purchase services/products on Guance Billing Center beyond the credit limit.
Guance Billing Center will give you a 15-day credit period for the consumption amount within the credit limit. This consumption amount will expire 15 days after your consumption.
You can recharge your account through the client (including but not limited to mobile phones, websites, and other third-party payment channels) and the corresponding payment methods (specific payment methods can be found on the recharge page). When recharging, you can also enjoy the recharge discounts provided by Guance Billing Center (if any, see the recharge agreement for details). When your account's credit limit is less than the credit limit cap, your recharge amount will first fill the gap between the current credit limit and the credit limit cap, and the remaining amount will be stored in your account as cash balance.
When your cash balance and credit limit are both used up, you have entered a suspended state, and Guance Future has the right to temporarily cancel your eligibility to use other unpaid services/products on the platform.
When the consumption amount within the credit limit expires, you have entered a arrears state, and Guance Future has the right to take one or more of the following measures:

6.1 Temporarily cancel your eligibility to use other unpaid services/products on the platform, except for the services/products you have paid for on Guance Billing Center.

6.2 Guance Future has the right to send you a termination notice and unilaterally terminate this Service Agreement, and require you to pay 20% of the payable fees as a termination penalty.

6.3 From the date Guance Future sends you the termination notice, you should also pay Guance Future a late fee of 0.5% of the payable fees per day.

6.4 Guance Future has the right to process and delete and destroy your related data on Guance Billing Center.

Invoice Application

After receiving the bill recording your monthly consumption on Guance Billing Center, you can choose to apply for an ordinary or VAT special invoice in the form of an electronic invoice or an ordinary paper invoice on the platform. The invoice tax rate is determined according to national tax laws and regulations. You should also provide sufficient invoicing information.

In addition, you should fill in the detailed mailing address or email address so that Guance Future can send the invoice. If you choose to issue a paper invoice, Guance Future will mail the ordinary paper invoice to your mailing address after receiving the invoice application, and the mailing-related fees will be borne by you; if you choose to issue an electronic invoice, Guance Future will send the electronic invoice to your email after receiving the invoice application.

(III) Enterprise Member Price Function for Alibaba Cloud Services/Products¶

According to the offline agreement signed between you and Guance Future, enterprise members can enjoy the enterprise member price to purchase Alibaba Cloud services/products provided on Guance Billing Center (hereinafter referred to as the "Enterprise Member Price Function"), as follows:

Activation of the Function

You should submit your enterprise name, business license, and other information. Guance Future will review the information and application you submitted within 2 working days after receiving the application and notify you of the review results through Guance Billing Center. Approval means you have successfully activated the Enterprise Member Price Function, and Guance Future will open a new Alibaba Cloud account for you, and this account will be automatically associated with Guance Future's Alibaba Cloud account. You can only use this account to purchase Alibaba Cloud services/products at the enterprise member price on Guance Billing Center.

You should ensure that when submitting the application and thereafter, without the consent of Guance Future, your Alibaba Cloud account is not associated with any other Alibaba Cloud account except Guance Future, otherwise Guance Future has the right to disassociate your Alibaba Cloud account from Guance Future's account.

Price Composition

The enterprise member price consists of the console price and the service fee, that is, the enterprise member price = console price + service fee.

The so-called console price refers to the very favorable price obtained by Guance Future through its long-term strategic partnership with Alibaba Cloud to purchase Alibaba Cloud services/products.

The so-called service fee refers to the service fee charged by Guance Future to you as the consideration for obtaining the console price.

Charging Standards

Guance Billing Center will charge the corresponding service fee according to the offline agreement signed between you and Guance Future.

Price Cap Commitment

Guance Future promises that at any time, the enterprise member price will not be higher than the price of the same Alibaba Cloud service/product provided on the official Alibaba Cloud website (https://www.aliyun.com/). If the console price plus the service fee exceeds the official Alibaba Cloud price, Guance Future will reduce the service fee so that the enterprise member price does not exceed the official Alibaba Cloud price.

Notes

To ensure that you can normally purchase Alibaba Cloud services/products, during the aforementioned cooperation period, you should keep the balance of your Alibaba Cloud account not less than 100 yuan.

Special Note: The consumption amount generated by your purchase of Alibaba Cloud services/products through the Enterprise Member Price Function on Guance Billing Center will be borne by Guance Future's Alibaba Cloud account, and Alibaba Cloud will not deduct the balance from your Alibaba Cloud account.

Article 4 Website Service Usage Rules¶

To effectively protect your legitimate rights and interests in using the Service, you understand and agree to accept the following rules:

The instructions you send to Guance Future through the following methods, including but not limited to, are deemed to be your own instructions, which cannot be withdrawn or revoked, and you shall bear the responsibility for any results caused by Guance Future's execution of the aforementioned instructions:

1.1 All operations performed through your Guance Future account and password.

1.2 All information sent to Guance Future through the mobile phone number bound to your account.

1.3 Information sent to Guance Future through the hardware, terminal, software, code, encoding, code, other account names, etc. bound to your account.

1.4 Other methods agreed upon by Guance Future and you or recognized by Guance Future.

In the process of using the Service, the content of this Service Agreement, the prompts on the page about transaction operations, or the information (SMS or phone, etc.) sent to your mobile phone by Guance Future are the relevant rules for you to use the Service. Your use of the Service means that you agree to accept the relevant rules of the Service. You understand and agree that Guance Future has the right to unilaterally modify the relevant rules of the Service without your consent. The service rules shall be subject to the page prompts (or SMS or phone sent to the mobile phone) when you use the service. Your agreement and compliance with the service rules are the prerequisites for you to use the Service.
Guance Future may notify you of the service progress and prompt you to perform the next step through email (or SMS or phone sent to your mobile phone, etc.), but Guance Future does not guarantee that you can receive or receive the email (or SMS or phone sent to your mobile phone, etc.) in time, and does not bear any consequences for this. Therefore, during the service process, you should log in to this website in time to view and perform transaction operations. Guance Future is not responsible for any disputes or losses caused by your failure to view and modify or confirm the service status in time or to submit relevant applications.
You authorize Guance Future to verify your identity and qualifications through third parties and obtain relevant information about your use of the Service.
Before you start using a certain product or service of Guance Future, you may need to sign a separate service agreement with Guance Future for this product or service. You can only use the product or service after accepting all the contents of the service agreement; if you do not agree with part or all of the service agreement, please do not proceed with the subsequent operations.
When you use Guance Future services, Guance Future has the right to charge you service fees according to the corresponding product and/or service charging introduction, order and/or related agreement. Guance Future has the right to formulate and adjust service fees. The specific service fees are subject to the charging method announced on the page when you use the service or other written agreements reached between you and Guance Future.
Special Notes

7.1 After some Guance Future services are activated, even if you do not add new service items or resources, or perform new operations, the charges and deductions for occupying resources will continue to occur. Please pay attention to replenishing the funds in your account in time to ensure that the service is not terminated, or you should perform the service termination operation in time.

7.2 When your service is terminated due to arrears, you should still pay the arrears. Otherwise, Guance Future reserves the right to charge you a late fee according to this Service Agreement.

Appeal and Handling

8.1 In the process of using Guance Future services, it is possible that Guance Future takes measures including but not limited to stopping all or part of the services, restricting all or part of the functions of the services, freezing all or part of the account funds, etc. due to one of the situations listed in this Service Agreement. Guance Future will notify you to follow the corresponding procedures for appeals through email, site letter, SMS, or phone, etc.

8.1.1 You can apply to Guance Future to lift the aforementioned restrictions or freezing or restore the services through the appeal procedure. You should provide the identity certificate and relevant materials, as well as other information or documents required by Guance Future, as required by Guance Future, so that Guance Future can verify. You should fully understand that your appeal is not necessarily allowed, and Guance Future has the right to decide whether to agree to your appeal request based on its own judgment.

8.1.2 You understand and agree that if you refuse to provide the identity certificate and relevant materials truthfully, or fail to pass Guance Future's review, Guance Future has the right to freeze the account for a long time and restrict part or all of the functions of the product or service for a long time.

About Third Parties

9.1 If you obtain any products or services from third parties through the use of the Service, you may also be subject to the relevant terms and conditions of the third party. Guance Future does not inquire into or bear any responsibility for this. This Service Agreement does not affect your legal relationship with the third party.

9.2 You confirm and agree that Guance Future's affiliated companies are all third-party beneficiaries of this Service Agreement, and Guance Future's affiliated companies have the right to directly enforce and rely on any provisions of this Service Agreement that grant them benefits. In addition, no third party shall be a third-party beneficiary of this Service Agreement.

Article 5 Your Rights and Obligations¶

(I) Rights and Obligations¶

You have the right to enjoy the internet technology and information services provided by Guance Future, and have the right to obtain technical support, consultation, and other services from Guance Future when accepting the services provided by Guance Future. The service content is detailed in the relevant product introduction on this website.
You guarantee that you will not use technology or other means to destroy or disrupt this website and the websites of other customers of Guance Future.
You should respect the intellectual property rights and other legal rights of Guance Future and other third parties, and ensure that in the event of illegal infringement of the aforementioned rights, you will do your best to protect Guance Future and its shareholders, employees, partners, etc. from being affected or suffering losses due to such events; Guance Future reserves the right to terminate the services provided to you and not refund any payments when you infringe the legitimate rights and interests of Guance Future.
You shall bear the responsibility for all the consequences caused by the incorrect contact information you provided to Guance Future and the poor security and stability of the email you used to receive Guance Future emails, including but not limited to the consequences and losses caused by your failure to receive the relevant notices from Guance Future in time.

(II) Your Guarantee¶

When using Guance Future products or services, you shall comply with national and local laws and regulations, industry practices, and social public morals, and shall not use the services provided by Guance Future to store, publish, or disseminate the following information and content: any content (information) that violates national laws and regulations; political propaganda and/or news information that violates national regulations; information involving national secrets and/or security; feudal superstition and/or obscene, pornographic, indecent information or information that incites crime; lottery with prizes, gambling games; information that violates national ethnic and religious policies; information that hinders the safe operation of the internet; information that infringes on the legitimate rights and interests of others and/or other information or content that is detrimental to social order, social security, and public morals; you also promise not to provide any convenience for others to publish the aforementioned information that does not comply with national regulations and/or the agreement of this Service Agreement, including but not limited to setting URLs, BANNER links, etc.
When using Guance Future products or services, you shall comply with the service agreement signed between you and Guance Future, the management norms, processes, service descriptions, price descriptions, and the content of the order page confirmed by you on www.boss.guance.com, including but not limited to:

2.1 You shall pay on time.

2.2 You shall not engage in any behavior that destroys or attempts to destroy network security.

You and your affiliates are not the subject of any trade restrictions, sanctions, or other legal restrictions implemented by any country, international organization, or region. If you violate the above guarantee, Guance Future has the right to take measures such as deleting information, suspending services, and terminating services according to the relevant service agreement, and has the right to restrict part or all of the functions of your account, such as purchasing new products or services, renewing, etc. If the above behavior causes losses to Guance Future, you shall compensate.
If the service you use includes downloadable Guance Future software, Guance Future only grants you a non-exclusive, non-transferable, personal use license for non-commercial purposes. Unless Guance Future expressly states or agrees with you otherwise, you may not copy, modify, publish, sell, or rent the service or any part of the software, nor may you reverse engineer or attempt to extract the source code of the software.

Article 6 Rights and Obligations of Guance Future¶

Guance Future shall provide you with qualified network technology and information services according to the service you choose and the payment situation.
Guance Future promises to take external confidentiality measures for your information, not to disclose your information to third parties, and not to authorize third parties to use your information, unless:

2.1 It can be provided according to this Service Agreement or other service agreements, contracts, online terms, etc. between you and Guance Future.

2.2 It should be provided according to the provisions of laws and regulations.

2.3 It is required by administrative, judicial, and other authorities with powers.

2.4 You agree that Guance Future provides it to third parties.

2.5 It is submitted by Guance Future to resolve reporting incidents and file lawsuits.

2.6 It is necessary for Guance Future to take necessary and reasonable actions to prevent serious illegal acts or suspected criminal acts.

2.7 It is provided by Guance Future to third parties to provide you with products, services, and information, including the situation where Guance Future provides you with products, services, and information through third-party technology and services.

Guance Future has the right to directly deduct the relevant service fees from your cash balance according to the agreement of this Service Agreement and your service usage.
When one of the following situations occurs, Guance Future has the right to freeze part or all of the funds under your account:

4.1 According to the provisions of national laws, regulations, policies, and legal documents.

4.2 It is required by national authorities with powers to freeze.

4.3 Your use of Guance Future services is suspected of violating national laws and regulations and administrative regulations.

4.4 Guance Future, based on its own reasonable judgment, believes that your account operation, fund inflow and outflow, etc. are abnormal.

4.5 Others mistakenly remit funds to your account, etc., which may cause you to obtain unjust enrichment.

4.6 You are complained by others, and the other party has provided certain evidence.

4.7 Guance Future, based on its own reasonable judgment, believes that other situations that may generate risks.

After Guance Future freezes your account funds according to the aforementioned provisions, it will notify you to follow the corresponding procedures for appeals through email, site letter, SMS, or phone, etc. If you appeal according to the requirements of Guance Future and pass the review of Guance Future, Guance Future will immediately lift the fund freezing measures; if you do not apply within the specified time, or your appeal does not pass the review of Guance Future, you confirm that Guance Future has the right to freeze the funds for a long time, or return the relevant frozen funds to the recharge source account (including but not limited to bank accounts, etc.) of the funds.

Article 7 Privacy and Other Personal Information Protection¶

Once you agree to this Service Agreement or use the Service, you agree that Guance Future will use and disclose your personal information according to the following terms.

When you register an account, Guance Future will ask you to set a Guance Future account login name and password to identify your identity, and set a password prompt question and its answer to confirm your identity when you lose your password. You can only use the account through the password you set. If you leak the password, you may lose your personal identification information and may lead to adverse legal consequences for you. When the account and password are in potential or actual danger for any reason, you should immediately contact Guance Future. Before Guance Future takes action, Guance Future is not responsible for this.

(II) Bank Account Information¶

If the service provided by Guance Future requires you to provide your bank account information, after you provide the corresponding information, Guance Future will strictly fulfill the relevant confidentiality agreement.

To ensure the security of your use of the Service and continuously improve the service quality, Guance Future will record and save the relevant information of your login and use of the Service, but Guance Future promises not to provide such information to any third party (except as agreed by both parties or otherwise provided by laws and regulations and Guance Future's affiliated companies).

(IV) Advertising¶

Guance Future will conduct comprehensive statistics on the identity data of Guance Future users and use or disclose it for sales and rewards.

(V) External Links¶

This website contains links to other websites, but Guance Future is not responsible for the privacy protection measures of other websites. Guance Future may add commercial partners or co-branded websites at any time when needed.

(VI) Security¶

Guance Future only provides corresponding security measures according to existing technology to prevent the information mastered by Guance Future from being lost, misused, or tampered with. These security measures include backing up data to other servers and encrypting user passwords. Despite these security measures, Guance Future does not guarantee the absolute security of this information.

(VII) User Information¶

When you complete the account registration or activate the account, you should provide Guance Future with your real name, address, nationality, phone number, and email address, and you can also choose to fill in relevant additional information (including but not limited to the province and city where your company is located, time zone and postal code, fax number, personal homepage, and your position).

When you agree to this Service Agreement, you indicate that you agree to the terms listed by Guance Future and agree that Guance Future will disclose this personal information to authorized service providers and relevant third parties. You further understand and agree that when you agree to this Service Agreement or when you submit your personal information to Guance Future, you are transferring your data from your country to mainland China, and this transfer is a necessary step to fulfill the agreement between you and Guance Future and/or to provide you with the services you require.

(VIII) User Business Data¶

The data you process, store, upload, download, distribute, and process in other ways through the services/products provided by Guance Billing Center are your user business data, and you fully own your user business data. Guance Future will strictly follow your instructions to process your business data, and will not use or disclose your business data without authorization except in accordance with the agreement with you or the execution of clear laws and regulations.

You further agree that Guance Future:

Send you customized information or new product/service information through email, phone (including voice calls, fax, or messages, if you indicate that we can contact you in this way).
Use your personal information for the purpose of providing you with enhanced or analytical statistical functions, or use or disclose personal information for sales or incentives.

Article 8 System Interruption or Failure¶

The system may not operate normally due to the following situations, and Guance Future will not be liable for damages when you cannot use various internet services. The situations include but are not limited to:

During the system maintenance period of Guance Future.
The telecommunications equipment fails and cannot transmit data.
Due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars, terrorist attacks, etc., causing Guance Future system obstacles and unable to perform business.
Due to hacker attacks, technical adjustments or failures of telecommunications departments, website upgrades, bank problems, etc., causing service interruption or delay.

Article 9 Scope of Liability and Limitation of Liability¶

Guance Future is only responsible for the scope of liability listed in this Service Agreement.
The quality and content of the services provided by the cooperative units of this Service are the responsibility of the cooperative units themselves.
You understand and agree that any third-party claims caused by your use of the Service, violation of this Service Agreement, or any actions taken under your account shall be borne by you alone. If Guance Future and its affiliated companies, employees, customers, and partners are claimed by third parties due to this, you shall be responsible for handling it and bear all the responsibilities caused thereby.
To the extent permitted by law, Guance Future is not responsible for any indirect, punitive, special, or derivative losses (including business losses, revenue losses, profit losses, use of data, goodwill, or other economic losses) related to or caused by this Service Agreement, no matter how they are generated, and whether they are caused by breach of this Service Agreement (including breach of warranty) or tort. In addition, even if the exclusive remedies stipulated in this Service Agreement do not achieve their basic purpose, Guance Future's liability for the aforementioned losses shall be excluded.
Unless otherwise stipulated in this Service Agreement or Guance Future and you have agreed on a specific product and/or service, in any case, you agree that the total liability of Guance Future for this Service Agreement shall not exceed the total amount of the service fee charged to you for the current service.

Article 10 Complete Agreement¶

This Service Agreement consists of this Service Agreement and various rules announced on this website, and the relevant terms can be referenced to each other. If there are different understandings, this Service Agreement shall prevail.
The chapter titles of this Service Agreement are for convenience only and do not have legal or contractual effect.
Your understanding and agreement of this Service Agreement mean that you understand and agree to all the contents of this Service Agreement. Once you use the Service, you and Guance Future are bound by all the contents of this Service Agreement.
If part of the content of this Service Agreement is deemed illegal by a court with jurisdiction, it does not affect the validity of other contents.

Article 11 Protection of Trademarks and Intellectual Property Rights¶

Except for third-party products or services, all the contents on this website, including but not limited to works, pictures, files, information, materials, structures, and page designs, are legally owned by Guance Future or Guance Future's affiliated companies, including but not limited to trademark rights, patent rights, copyrights, trade secrets, etc.
Without the written consent of Guance Future or Guance Future's affiliated companies, no one may use, modify, copy, publicly disseminate, change, distribute, or publicly publish the programs or contents on this website.
Respecting intellectual property rights is your obligation. If you violate this, you shall bear the liability for damages.

Article 12 Notice Delivery¶

You understand and agree that Guance Future may, based on its own judgment, notify you through website announcements, emails, SMS, or regular mail, and Guance Future can rely on the contact information you provided as complete, accurate, and currently valid; the aforementioned notice is deemed to have been delivered to the recipient on the day of sending.
Unless otherwise agreed in this Service Agreement or the agreement signed between Guance Future and you clearly stipulates the notice method, the notice you send to Guance Future shall be delivered through the officially announced communication address, fax number, email address, and other contact information of Guance Future.

Article 13 Applicable Law and Jurisdiction¶

The validity, interpretation, modification, execution, and dispute resolution of this Service Agreement shall be governed by the laws of the People's Republic of China. Any disputes arising from this Service Agreement shall be handled in accordance with the laws of the People's Republic of China and submitted to the Shanghai Pudong New Area Court for trial.
