Guance Obsy AI Service Terms¶

These Guance Obsy AI Service Terms (the "Terms") are entered into by and between the Guance service provider (the "Service Provider" or "Guance") and the individual, enterprise, or other organization that activates, accesses, or uses the Obsy AI intelligent services (the "User").
These Terms are a specific supplement to the Guance platform, Guance SaaS services, relevant orders, service descriptions, online rules, privacy policy, data processing agreement, and other documents confirmed by the parties. For matters relating to the Obsy AI intelligent services, these Terms prevail to the extent of any inconsistency with the foregoing documents. Matters not covered by these Terms remain subject to the foregoing documents.
By ticking a checkbox, clicking to accept, activating Obsy AI, purchasing or renewing an Obsy Agent, first using a capability that requires Credits, or otherwise accessing, invoking, configuring, authorizing, or managing the Obsy AI intelligent services, the User confirms that it has read, understood, and agreed to be bound by these Terms. If an individual uses the services on behalf of an enterprise or organization, such individual confirms that it has obtained the necessary authorization.
Article 1 Definitions¶
1.1 Obsy AI intelligent services means the intelligent Q&A, data analysis, issue diagnosis, dashboard generation, automated troubleshooting, and other intelligent assistance services provided by Guance based on artificial intelligence, automated analysis, task orchestration, model invocation, data retrieval, and execution capabilities, primarily including Obsy Copilot and Obsy Agent Teams.
1.2 Obsy Copilot means the intelligent interaction capabilities for daily User scenarios, including product documentation Q&A, intelligent Q&A, data analysis, issue diagnosis, chart title or description generation, dashboard generation, and similar scenarios.
1.3 Obsy Agent Teams means an intelligent execution team for complex task processing, under which one or more Obsy Agents may, based on User authorization, task configuration, data scope, and system capabilities, autonomously or semi-autonomously complete analysis, localization, troubleshooting, and other automated tasks.
1.4 Obsy Agent or Agent means an Agent instance, seat, or capability unit within Obsy Agent Teams that is used to execute specific intelligent tasks.
1.5 Credits means the internal units used by Obsy AI intelligent services to measure intelligent task execution, model invocation, data analysis, task orchestration, and related resource consumption. Credit consumption is deducted from Plan Credits or Prepaid Credits, or otherwise calculated for Obsy AI related fees, based on system records, plan pages, product documentation, orders, or documents confirmed by the parties.
1.6 Workspace means the organization, tenant, project, environment, or other service-resource boundary created, managed, or used by the User on the Guance platform.
1.7 Obsy AI service subscription or plan means the package of Obsy AI service benefits activated by the User according to the plan page, pricing page, order, quotation, or other document confirmed by the parties, including Basic Plan, Professional Plan, Team Plan, Enterprise Plan, or any other plan that the Service Provider may offer from time to time. The Agent quantity limits, Plan Credits, feature scope, usage limits, subscription period, and other benefits of different plans are subject to these Terms, the plan page, product documentation, the order, or other documents confirmed by the parties.
1.8 Plan Credits means Credits benefits obtained by the User for using the Basic Plan or activating, renewing, or upgrading a paid plan. Plan Credits may be used only to offset Credit consumption generated by Obsy Copilot and Obsy Agent Teams. They are not cash, prepaid cards, stored-value balances, or legal tender and, unless otherwise expressly agreed by the parties, may not be withdrawn, transferred, redeemed for cash, or used to offset fees for other products. The amount, validity period, grant, and forfeiture rules for Plan Credits are subject to the plan page, product documentation, order, or other document confirmed by the parties.
1.9 Prepaid Credits means Credits benefits obtained by the User after purchasing a Credit Package and funding it to a Workspace according to the plan page, product documentation, order, or other document confirmed by the parties. Unless otherwise agreed on the plan page, order, or other document confirmed by the parties, Prepaid Credits generally do not expire.
1.10 Credit Package means a package of Obsy AI Credits purchased by the User according to the plan page, product documentation, order, or other document confirmed by the parties. A Credit Package is not cash, a prepaid card, a stored-value balance, or legal tender and, unless otherwise expressly agreed by the parties, may not be withdrawn, transferred, redeemed for cash, or used to offset fees for other products.
1.11 Credits Balance means the total Credits available in the current Workspace for Obsy AI related services, including unexpired Plan Credits and available Prepaid Credits. The platform may display Credits Balance, Plan Credit validity periods, Prepaid Credit balance, consumption records, and funding entry points, subject to page display and system records.
Article 2 Service Scope¶
2.1 Obsy Copilot may be used for basic Q&A, intelligent Q&A, data analysis, issue diagnosis, dashboard generation, chart title or description generation, dashboard-building intent recognition, and other intelligent assistance scenarios supported by Guance. Basic Q&A capabilities are generally free of charge. Capabilities involving advanced analysis, diagnosis, dashboard generation, or other tasks that require actual system execution will deduct Credits from the Credits Balance of the current Workspace based on Credit consumption generated during execution. The User shall ensure that valid Plan Credits or Prepaid Credits have been obtained before using such capabilities.
2.2 Obsy Agent Teams may be used to process complex tasks, including autonomous analysis, issue localization, fault troubleshooting, anomaly detection, task decomposition, tool invocation, result summarization, and other automated tasks. Agent task execution may require the User to grant necessary data access, account permissions, Workspace permissions, API permissions, or operation permissions.
2.3 The specific feature scope, available regions, task types, model capabilities, invocation limits, permission requirements, execution time, consumption rules, and page displays of Obsy AI intelligent services are subject to the actual Guance platform offering, service descriptions, pricing pages, orders, or other content separately confirmed by the parties.
2.4 The Service Provider may optimize or adjust the functions, interface, models, execution processes, consumption rules, or service methods of Obsy AI intelligent services for product operation, technology upgrades, security maintenance, model updates, cloud-resource adjustments, compliance requirements, or user-experience improvement, provided that the core functions of the services already subscribed to by the User are not materially reduced.
Article 3 Activation, Authorization, and Online Confirmation¶
3.1 The User shall complete account registration, identity verification, Workspace creation, service activation, order confirmation, payment, or other necessary procedures as required by the Guance platform, and shall ensure that the information submitted is true, accurate, complete, and continuously valid.
3.2 The individual who activates, purchases, renews, authorizes, or uses the Obsy AI intelligent services shall have the authority to conduct such operations on behalf of the User. The User is responsible for any activation, charge, data access, task execution, or other consequence arising from the User's internal authorization, approval, permission allocation, or account management.
3.3 The Service Provider may prompt the User to confirm these Terms, billing rules, Credit rules, and relevant service descriptions through pop-ups, checkboxes, in-site notices, page prompts, order confirmation pages, or other reasonable means when the User activates Obsy AI, purchases or renews an Agent, first uses a capability that requires Credits, adjusts key permissions, confirms pricing rules, or becomes subject to updated terms.
3.4 The User understands and agrees that Obsy AI intelligent services may retrieve, analyze, calculate, display, or generate results based on the User's permissions, configurations, data sources, metrics, logs, traces, events, alerts, documents, dashboards, and other User data within the Guance platform. The User shall ensure that its authorization scope, data access, and task configuration are lawful, necessary, and consistent with its internal governance requirements.
Article 4 Fees, Plan Subscriptions, Credit Packages, and Credits Balance¶

4.1 Fees generated from the User's use of Obsy AI intelligent services include Obsy AI service subscription fees, Credit Package fees, and other applicable fees listed on the plan page, pricing page, order, quotation, billing rules, or other documents confirmed by the parties. Obsy AI service subscription fees, plan prices, Credit Package prices, currency, taxes, payment methods, invoices, refunds, renewals, cancellations, and other transaction arrangements are subject to the plan page, pricing page, order, quotation, billing rules, or other documents actually selected or confirmed by the User. These Terms do not list specific prices.
4.2 Obsy AI service plans may include Basic Plan, Professional Plan, Team Plan, Enterprise Plan, or other plans offered by the Service Provider from time to time. The specific feature scope, available regions, Agent quantity limits, service limits, subscription periods, upgrade and downgrade rules, Plan Credits, and other benefits of different plans are subject to the plan page, product documentation, order, or other document confirmed by the parties.
4.3 The Basic Plan may grant Plan Credits by calendar month. The specific amount of Plan Credits, applicable region, reset rules, and accumulation rules are subject to the plan page, product documentation, order, or other document confirmed by the parties. After the free quota or Credits Balance is exhausted, if the User continues to use Obsy Copilot or Agent functions, the system may prompt that the current Workspace's Obsy AI usage has reached the limit and guide the User to contact the Workspace owner, contact the account manager, purchase a Credit Package, fund Credits, or upgrade the plan according to page prompts.
4.4 The Professional Plan may grant Plan Credits by subscription period. The specific amount of Plan Credits, applicable region, accumulation rules, validity period, and other usage rules are subject to the plan page, product documentation, order, or other document confirmed by the parties. After successful renewal, the system will grant Plan Credits again according to the new subscription period, and the specific grant result is subject to system records. Unused Plan Credits that have expired will automatically become invalid.
4.5 The Team Plan may grant Plan Credits by subscription period. The specific amount of Plan Credits, applicable region, accumulation rules, validity period, and other usage rules are subject to the plan page, product documentation, order, or other document confirmed by the parties. After successful renewal, the system will grant Plan Credits again according to the new subscription period, and the specific grant result is subject to system records. Unused Plan Credits that have expired will automatically become invalid.
4.6 Credit consumption generated by Obsy Copilot and Obsy Agent Teams during actual task execution shall be deducted from the Credits Balance of the current Workspace. The deduction order is first Plan Credits, then Prepaid Credits. Where multiple Plan Credit packages coexist, the system will first consume the Plan Credits with the earliest expiry. After Plan Credits are exhausted, inapplicable, or invalid, Prepaid Credits will be consumed.
4.7 Upon activation of a paid plan, the system will grant corresponding Plan Credits according to the plan page, product documentation, order, or other document confirmed by the parties. After plan renewal, the system will grant Plan Credits again according to the new subscription period. Plan upgrades take effect immediately: after the User satisfies the payment conditions and the charge is successfully processed, the system may immediately generate a bill and update plan benefits and Plan Credits. Plan downgrades generally take effect in the next subscription period. The specific grant time, grant result, balance, deduction record, upgrade or downgrade handling, and bill display are subject to system records, the plan page, product documentation, order, or documents confirmed by the parties.
4.8 The User must contact an account manager or purchase a Credit Package and fund it to the designated Workspace according to platform page prompts before using Obsy AI related services that require Credits. The specific price, amount, discount, purchase method, payment method, funding time, and scope of application of a Credit Package are subject to the plan page, product documentation, order, billing rules, or other document confirmed by the parties.
4.9 The specific statistical methodology for Credits, model-invocation conversion, tool-invocation conversion, internal measurement methods, and related product metering and billing implementation rules are not part of the body of these Terms. The User's actual Credit deductions, Credits Balance, funding records, and bill records are subject to system bills, pricing pages, orders, or documents confirmed by the parties.
4.10 Official documentation Q&A, chart title or description generation, dashboard-building intent recognition, permission checks, automatic system retries, failed requests, cancelled requests, and system-exception requests that do not produce an effective answer or effective task result are generally not included in deductible Credit consumption. Whether an effective answer, effective task result, and corresponding Credit consumption are generated is subject to system billing records, task logs, and bill records.
4.11 If the User is in arrears, fails to make payment, has abnormal transactions, circumvents billing, maliciously consumes resources, makes abnormal calls, abuses resources, has insufficient Credits Balance, has exhausted Credits, violates these Terms, or violates service rules, the Service Provider may issue reminders, limit usage, suspend tasks, suspend Obsy Copilot Q&A, block Agent calls, suspend Agents, freeze relevant functions, terminate services, or pursue liability in accordance with law. Obsy AI does not support the User continuing direct consumption after Credits are exhausted through a cash balance, ordinary voucher, or after-the-fact settlement.
4.12 The Service Provider may adjust prices, fee items, Plan Credit grant rules, Prepaid Credit Package rules, deduction rules, or the boundaries of free capabilities based on changes in costs, market conditions, products, models, resources, or compliance requirements, and may notify the User by official website announcement, in-site notice, pricing page, order page, email, or other reasonable means. Such adjustment will not affect subscribed benefits that were purchased before the adjustment and remain valid, unless otherwise agreed by the parties or required by applicable laws or regulations.
4.13 The Service Provider may notify the User through in-site notice, email, or other reasonable means when Credits Balance is insufficient or exhausted, and may state the current Credits Balance, impact on Obsy AI services, and funding method. Specific notification thresholds, frequency, and delivery methods are subject to system settings, page rules, or documents confirmed by the parties.
Article 5 User Rules of Conduct¶
5.1 The User shall use Obsy AI intelligent services lawfully, compliantly, and prudently, and shall be responsible for access, invocation, authorization, configuration, input, output use, task execution, data processing, and business decisions under its account.
5.2 The User shall not input, upload, submit, authorize the processing of, or request the generation of any content that violates laws, regulations, regulatory requirements, public order and good morals, public interests, third-party lawful rights and interests, or Guance service rules.
5.3 The User shall not process personal information, sensitive personal information, important data, trade secrets, regulated data, third-party data, or other restricted data through Obsy AI intelligent services without lawful authorization, satisfaction of the minimum-necessary principle, or completion of necessary notice, consent, assessment, approval, desensitization, or protection measures.
5.4 The User shall not use Obsy AI intelligent services to conduct attacks, intrusions, security-control bypasses, audit evasion, malicious-code generation, bulk crawling, model reverse engineering, prompt-injection attacks, unauthorized access, billing circumvention, malicious resource consumption, service interference, or other improper activities.
5.5 Without the Service Provider's prior written consent, the User shall not resell, lease, sublicense, distribute, package as an independent commercial service, or provide commercial shared access to Obsy AI intelligent services to any third party.
5.6 The User shall properly manage accounts, passwords, access keys, API Tokens, permission configurations, data-source authorizations, Agent authorizations, and Workspace member permissions. Upon discovering abnormal access, credential leakage, unauthorized tasks, billing anomalies, or other security risks, the User shall promptly notify the Service Provider and take necessary measures to mitigate losses.
Article 6 Data Processing, Privacy, and Model Training¶
6.1 Logs, metrics, traces, events, alerts, configurations, dashboards, documents, texts, images, task instructions, interaction records, AI Output, and other content input, uploaded, accessed, authorized for processing, or generated by the system during the User's use of Obsy AI intelligent services constitute User data or data formed by the User's use of the services and belong to the User or its lawful right holders in accordance with law.
6.2 For the purpose of providing, maintaining, protecting, and optimizing Obsy AI intelligent services, the User authorizes the Service Provider to store, transmit, retrieve, analyze, calculate, invoke models for, orchestrate tasks for, generate and display results from, back up, troubleshoot, conduct security testing on, perform billing statistics for, and provide technical support for User data within the necessary scope.
6.3 The Service Provider may, as necessary for service delivery, use its own models, third-party models, cloud infrastructure, security services, operation and maintenance support, logging systems, billing systems, or other necessary service environments to process User data. The Service Provider will require such service environments to process data only within the necessary scope and will adopt reasonable management, technical, and security measures to protect User data.
6.4 Without the User's separate express consent, the Service Provider will not use User data, User inputs, User business content, or data that can identify the User's identity, business systems, or Workspace to train general-purpose models, foundation models, or model capabilities unrelated to the User.
6.5 The Service Provider may use anonymized, aggregated, or de-identified statistical information for service optimization, product analysis, capacity planning, security protection, billing verification, and operational improvement, provided that such information is not used to identify a specific User or reconstruct User business content.
6.6 Where personal information, sensitive personal information, important data, cross-border data, or other regulated data is involved, each party shall comply with applicable personal information protection, data security, cybersecurity, artificial intelligence governance, and other legal and regulatory requirements. If the parties separately sign a data processing agreement, privacy terms, cross-border data terms, or supplemental agreement, such specialized terms prevail to the extent of any inconsistency with these Terms.
6.7 After service termination, the Service Provider may retain, delete, clean up backups of, or restrict access to relevant User data, AI interaction records, task logs, billing records, and backup copies in accordance with applicable laws and regulations, service rules, privacy policy, data retention policy, orders, or other agreements between the parties.
Article 7 AI Output, Human Review, and Content Labeling¶
7.1 The User understands and agrees that Obsy AI intelligent services generate answers, recommendations, diagnostic conclusions, analytical results, dashboard configurations, task summaries, or other outputs based on models, algorithms, rules, tools, data sources, permission configurations, and operating environments. Due to model capabilities, data quality, context completeness, permission scope, system status, and external factors, AI Output may be inaccurate, incomplete, untimely, unsuitable for a particular scenario, or inconsistent with the User's expectations.
7.2 AI Output is provided only as intelligent assistance and reference information. It does not constitute legal, financial, medical, audit, security-certification, operation-and-maintenance disposition, or other professional advice, nor does it constitute the Service Provider's commitment to any particular result, guaranteed fault resolution, business continuity, revenue, compliance, or accuracy. The User shall conduct human review based on its own business, system environment, compliance requirements, professional judgment, and risk tolerance, and shall be responsible for operations, configurations, releases, dispositions, or business decisions made based on AI Output.
7.3 If the User displays, publishes, disseminates, delivers to third parties, or uses AI Output to generate synthetic content, the User shall assess and comply with applicable requirements relating to AI-generated synthetic content labeling, intellectual property, personal information protection, consumer protection, advertising, anti-unfair competition, and other laws and regulations.
7.4 For security, compliance, quality, risk-control, or product-experience purposes, the Service Provider may filter, block, restrict, prompt, record, audit, or manually review certain inputs, outputs, tasks, or Agent behavior. Such measures do not exempt the User from legal responsibility for its content and usage results.
Article 8 Intellectual Property¶
8.1 The Guance platform, Obsy AI intelligent services, and their systems, technical solutions, model orchestration, Agent capabilities, billing systems, interfaces, page designs, interaction processes, database structures, documentation, brand identifiers, trademarks, trade names, domain names, and other intellectual property rights and lawful interests are owned by the Service Provider or its lawful right holders.
8.2 No intellectual property right or other proprietary interest is transferred to the User by reason of service provision, subscription, account activation, Agent activation, grant of Plan Credits or Prepaid Credits, or the User's use of Obsy AI intelligent services.
8.3 Subject to the User's compliance with these Terms, applicable laws and regulations, and third-party rights requirements, the User may use, for its own business purposes, AI Output generated by Obsy AI intelligent services based on the User's input, User data, or User tasks. The User is responsible for confirming that the relevant output does not infringe third-party rights, violate laws or regulations, or become unsuitable for the User's intended scenario.
8.4 The Service Provider may use feedback, suggestions, requirements, issue reports, or improvement comments provided by the User for product optimization, service improvement, issue remediation, and capability iteration, provided that the Service Provider does not disclose User confidential information or violate applicable laws, regulations, or agreements between the parties.
Article 9 Service Levels, Technical Support, and Security Handling¶
9.1 The Service Provider will provide Obsy AI intelligent services in accordance with then-current service standards and will use reasonable efforts to ensure service availability, stability, and security. Service availability, maintenance windows, incident response, recovery objectives, technical support scope, support channels, and support hours are subject to the service level agreement, support policy, service description, order, or other document separately confirmed by the parties or published on the Service Provider's official website.
9.2 Obsy AI intelligent services rely on the internet, cloud infrastructure, model services, third-party networks, data-source status, User permission configurations, User system environments, and related public services. The foregoing factors may affect service access, task execution, response speed, output quality, Credit consumption, and result availability.
9.3 The Service Provider may conduct necessary system maintenance, upgrades, migrations, capacity expansions, model updates, security hardening, fault repairs, or emergency handling and will use reasonable efforts to reduce the impact on the User's business. For planned maintenance, the Service Provider will notify the User in advance through official website announcement, in-site notice, email, or other reasonable means, except for emergency maintenance, security handling, or unforeseeable events.
9.4 If the Service Provider reasonably determines that the User's input, task, invocation, Agent behavior, data authorization, or usage method involves illegality, infringement, security risk, abnormal consumption, attack risk, billing risk, or may harm the rights and interests of the Service Provider, other users, or third parties, the Service Provider may take necessary measures, including prompts, blocking, restrictions, suspension, termination, interface shutdown, or freezing of relevant functions.
Article 10 Confidentiality¶
10.1 A party that obtains the other party's non-public business, technical, product, data, pricing, model, interface, documentation, customer, operational, or other confidential information in connection with the formation or performance of these Terms shall keep such information confidential and use it only to the extent necessary for the performance of these Terms.
10.2 The confidentiality obligations do not apply to information that is already public other than due to the receiving party's breach; lawfully known by the receiving party before disclosure; lawfully obtained by the receiving party from a third party with the right to disclose it; independently developed by the receiving party without using the disclosing party's confidential information; or required to be disclosed under laws, regulations, regulatory, judicial, or administrative authority requirements.
10.3 The confidentiality obligations under this Article survive termination of these Terms until the relevant information is no longer confidential or the parties agree otherwise.
Article 11 Disclaimers¶
11.1 The User shall access and use Obsy AI intelligent services lawfully, compliantly, and prudently, and shall be responsible for its business activities, data content, system configurations, internal controls, permission management, AI Output use, task execution, and business decisions made based on the services.
11.2 To the extent permitted by law, the Service Provider is not liable for: service interruption or delayed performance caused by force majeure; issues caused by third-party networks, cloud resources, model services, carriers, browsers, terminal environments, or the User's own systems; issues caused by the User's configuration, operation, authorization, access, permission management, or credential custody; output deviations, task failures, or unavailable results caused by User input, data quality, missing context, unclear task objectives, insufficient permissions, or third-party system abnormalities; losses caused by the User's violation of these Terms, service rules, or applicable laws and regulations; or data loss, damage, abnormal access, business interruption, Credit consumption, insufficient Credits Balance, or exhausted Credits outside the Service Provider's reasonable control.
11.3 Obsy AI intelligent services are provided on an as-is and as-available basis. Except as expressly required by law or otherwise agreed in writing by the parties, the Service Provider does not warrant that Obsy AI intelligent services will meet the User's particular purpose, business scenario, or compliance requirement; be continuously uninterrupted, error-free, fully accurate, continuously successful; necessarily identify issues; necessarily fix faults; or be completely free from external risks.
11.4 Product documentation, AI answers, diagnostic recommendations, support responses, sample configurations, alert rules, dashboard-generation results, and best practices provided by the Service Provider are for the User's reference only. The User shall make independent judgments based on its business, system environment, compliance requirements, and risk tolerance and shall be responsible for the consequences of use.
Article 12 Limitation of Liability¶
12.1 To the extent permitted by law, the Service Provider's aggregate liability to the User arising from these Terms or Obsy AI intelligent services shall not exceed the total service fees actually paid by the User for the affected Obsy AI intelligent services through the Guance platform, orders, or other channels recognized by the parties during the twelve (12) months preceding the relevant event.
12.2 To the extent permitted by law, the Service Provider is not liable for any indirect loss, loss of expected revenue, loss of business opportunity, loss of profit, loss of goodwill, data loss, business interruption loss, cost of procuring substitute services, punitive damages, or other special, incidental, or consequential damages, whether such damages are asserted under contract, tort, negligence, strict liability, or any other legal theory.
12.3 The limitations of liability in these Terms do not apply to liabilities that may not be limited under applicable laws and regulations.
Article 13 Term, Suspension, and Termination¶
13.1 These Terms become effective when the User accepts them through an online page, activates Obsy AI, purchases or renews an Agent, first uses a capability that requires Credits, or otherwise begins using Obsy AI intelligent services, and remain effective during the User's use of Obsy AI intelligent services.
13.2 Upon subscription expiration, subscription cancellation, order termination, termination otherwise agreed by the parties, or the User's cessation of use of Obsy AI intelligent services with the relevant account, permission, or Workspace closed, the rights and obligations relating to service access under these Terms will terminate accordingly.
13.3 If the User violates these Terms, Guance service rules, orders, or applicable laws and regulations, or has overdue payments, abnormal transactions, billing circumvention, abnormal invocations, attack risks, security risks, infringement risks, or other circumstances that may harm the rights and interests of the Service Provider, other users, or third parties, the Service Provider may, as appropriate, issue reminders, restrict functions, suspend tasks, close interfaces, freeze accounts, terminate services, or pursue liability in accordance with law.
13.4 After service termination, the User shall stop accessing and using Obsy AI intelligent services. The Service Provider may close relevant accounts, permissions, interface access, Agents, tasks, and service resources, and process User data, task logs, billing records, and AI interaction records in accordance with these Terms and applicable data retention policies.
13.5 Articles concerning intellectual property, data and security, confidentiality, disclaimers, limitation of liability, fee settlement, governing law and dispute resolution, and any provisions that by their nature should survive will continue to be effective after termination of these Terms.
Article 14 Governing Law and Dispute Resolution¶
14.1 The formation, effectiveness, performance, interpretation, and dispute resolution of these Terms are governed by the laws of the Hong Kong Special Administrative Region, without application of any conflict-of-law rules. If the parties have expressly agreed otherwise on governing law in an order, master agreement, or other written document, such agreement shall prevail.
14.2 Any dispute arising out of or in connection with these Terms or Obsy AI intelligent services shall first be resolved through friendly consultation. If consultation fails, either party may bring proceedings before a court of competent jurisdiction in the Hong Kong Special Administrative Region. If the parties have expressly agreed otherwise on dispute resolution in an order, master agreement, or other written document, such agreement shall prevail.
Article 15 Miscellaneous¶
15.1 These Terms constitute the specific agreement between the Service Provider and the User regarding Obsy AI intelligent services and supersede all prior oral or written arrangements between the parties regarding Obsy AI intelligent services, except as otherwise provided in orders, data processing agreements, confidentiality agreements, service level agreements, supplemental agreements, or other written documents separately signed by the parties.
15.2 The Service Provider may update these Terms based on business development, service adjustments, price adjustments, model capability changes, changes in laws and regulations, or regulatory requirements, and may notify the User through official website announcement, in-site notice, email, pricing page, order page, or other reasonable means. The User's continued use of Obsy AI intelligent services after the updated Terms become effective is deemed acceptance of the updated Terms.
15.3 If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity of the remaining provisions is not affected. The parties shall replace such provision with a lawful, valid, and enforceable arrangement that most closely reflects the purpose of the original provision.
15.4 Headings in these Terms are for convenience only and do not affect interpretation. Notices relating to these Terms may be delivered through in-site notice, email, official website announcement, order page, pricing page, or other means confirmed by the parties. Notices sent electronically are deemed delivered when successfully sent or when the announcement is published, unless otherwise required by laws or regulations or agreed by the parties.
